Appointment of Committees. To the extent permitted by applicable law, the Board may delegate any or all of its powers hereunder to one or more committees or subcommittees of the Board (a “Committee”). All references herein to the “Board” shall mean the Board or a Committee to the extent that the Board’s powers or authority hereunder have been delegated to such Committee.

The Board of Managers, by a resolution adopted by a greater than two-thirds majority, shall designate an audit committee and may designate one or more other committees, each of which, to the extent provided in such resolution, shall have and exercise all the powers and authority of the Board of Managers except as otherwise prohibited by law.

To appoint or delegate as necessary such persons, committees or entities as the Board of Trustees shall determine in its sole discretion to make and advise decisions under the Plan and Trust; provided, however, that the Board of Trustees may withhold to itself all authority and decision making to itself without delegation.

Appointment of Committees. 11.1.1 There are hereby created an Administrative Committee and an Investment Committee, each of which shall consist of not less than two members to be appointed by the Board of Directors of the Company. Each member of a Committee may resign, or may be removed at any time by the Board of Directors of the Company (with or without cause), and, in the event of the removal, death or resignation of any member, his successor shall be appointed by such Board. In the event that a vacancy or vacancies shall occur on a Committee, the remaining member or members shall act as the Committee until the Board of Directors of the Company fills such vacancy or vacancies. The members of each Committee shall serve without compensation for their services as such members.
