Acceptance of Offer by the Company. The Company may, at its option exercise within sixty (60) days after the Offer Date, elect to purchase all or any portion of the Offered Shares on the Terms (with the designees of the selling Shareholder abstaining on any vote of the Board of Directors of the Company with respect to such purchase). If and to the extent the Company does not accept the Offer in accordance with this Section 4.3 with respect to all of the Offered Shares, the Offered Shares may be disposed of in accordance with Section 4.4. The Company shall exercise its option under this Section 4.3 by giving an Exercise Notice. The Exercise Notice shall be in accordance with the Terms. Any purchase by the Company of one hundred percent (100%) of the Offered Shares shall be completed not later than ninety (90) days after the Offer Date (subject to any extension of time required to permit necessary governmental or regulatory filings, notices or approvals).

Acceptance of Offer by the Company. The Company may accept the Offer by giving written notice to Vicis prior to the earlier of [A] ten (10) calendar days after having been furnished the Offer, or [B] the Termination Date (the “Right of First Refusal Expiration Time”). Alternatively, the Company may fulfill all the conditions to exercise of the Option and exercise the Option prior to the Right of First Refusal Expiration Time.
Acceptance of Offer by the Company. Within forty-five (45) days ---------------------------------- after receipt of the Offer, the Company may elect to purchase all or any portion of the Offered Shares. If the Company makes such election, it shall do so by giving written notice of its intent to purchase the Offered Shares on the Terms, specifying the number of Offered Shares the Company desires to purchase (an "Exercise Notice"). To the extent the Company does not accept the Offer with respect to all of the Offered Shares, the remaining Offered Shares shall be offered to the Shareholders in accordance with Section 1.5.

The Trustee, subject to the provisions of Article VI of this Indenture, shall be entitled to conclusively rely on the delivery to it of a written notice by a Person representing himself to be a holder of Senior Indebtedness (or a trustee or representative on behalf of such holder), to establish that such notice has been given by a holder of such Senior Indebtedness or a trustee or representative on behalf of any such holder or holders. In the event that the Trustee determines in good faith that further evidence is required with respect to the right of any Person as a holder of such Senior Indebtedness to participate in any payment or distribution pursuant to this Article XV, the Trustee may request such Person to furnish evidence to the reasonable satisfaction of the Trustee as to the amount of such Senior Indebtedness held by such Person, the extent to which such Person is entitled to participate in such payment or distribution and any other facts pertinent to the rights of such Person under this Article XV, and, if such evidence is not furnished, the Trustee may defer any payment to such Person pending judicial determination as to the right of such Person to receive such payment.

  • Acceptance by the Transferee The Transferee agrees to comply with all covenants and restrictions applicable to a Holder of the 2019-1 SUBI Certificate and the interest in the 2019-1 SUBI represented thereby, whether set forth in the 2019-1 SUBI Certificate, in the SUBI Trust Agreement or otherwise, and assumes all obligations and liabilities, if any, associated therewith.

The Trustee makes no representations as to the validity or sufficiency of this First Supplemental Indenture or of the Notes. The Trustee shall not be accountable for the use or application by the Company of the Notes or the proceeds thereof. All of the provisions contained in the Base Indenture in respect of the rights, privileges, immunities, powers and duties of the Trustee shall be applicable in respect of the Notes and of this First Supplemental Indenture as fully and with like effect as if set forth herein in full.
