Exercise Notice definition

Exercise Notice has the meaning set forth in Section 3.2(1);

Exercise Notice means the notice respecting the exercise of an Option, in the form set out as Schedule “B” hereto, duly executed by the Option Holder;

• Each of the form of Conversion Notice and Exercise Notice (as defined in the Notes and Warrants, respectively) included in the Notes and Warrants set forth the totality of the procedures required of the Buyers in order to convert the Notes and exercise the Warrants.

• The Exercise Notice must state your election to exercise the Option, the number of Option Shares that are being purchased, and any other representations and agreements that may be required by the Company.

• The Option will be deemed to be exercised upon receipt by the Company of a fully executed Exercise Notice and payment of the aggregate Exercise Price and all applicable withholding and other taxes.
