The Investor shall deliver an Exercise Notice to subscribe to the Top-up Offering or issuance of Top-up Shares, within 15 Business Days after the date of receipt of a Top-up Notice, failing which the Investor will not be entitled to exercise the Top-up Right in respect of such issuance of Top-up Shares.
If the Investor delivers an Exercise Notice in accordance with Section 5.2(c) or during such shortened notice period as may have been agreed between the Company and the Investor pursuant to this Section 5.2(e) in response to a Top-up Notice delivered pursuant to Section 5.2(b), the Company shall in accordance with the provisions of this Section 5.2(e), promptly, and in any event prior to declaring the record date for such Shareholder meeting, complete a Top-up Offering to the Investor.
Upon delivery of an Option Exercise Notice, the Parties shall negotiate in good faith the definitive terms and conditions of the acquisition (including representations, warranties, covenants, closing conditions, and indemnification) and shall use commercially reasonable efforts to execute a definitive purchase agreement within ninety (90) days of the Option Exercise Notice (or such longer period as the Parties may agree in writing).
The Parties acknowledge that the Option Price reflects the aggregate consideration for the acquisition and that the definitive terms, including the allocation of the Option Price between cash and equity (if any), the structure of the transaction, representations and warranties, indemnification, and closing conditions, shall be negotiated in good faith following delivery of the Option Exercise Notice.
The Company will pay all cash amounts due on any Warrant of any Holder by wire transfer of immediately available funds to the account of such Holder within the United States specified in a written request of such Holder delivered to the Company no later than the Close of Business on the date that is five (5) Business Days immediately before the date such payment is due (or, with respect to any cash Exercise Consideration due to settle an Exercise of such Warrant, specified in the related Exercise Notice).
