102 OPTION AWARDS Clause Samples

The 102 Option Awards clause defines the terms and conditions under which stock options are granted to employees, directors, or service providers under Section 102 of the Israeli Income Tax Ordinance. It typically outlines eligibility, the process for granting options, and the tax treatment of such awards, often requiring options to be held in trust for a specified period to qualify for favorable tax rates. This clause ensures compliance with local tax laws and provides a structured framework for incentivizing personnel while managing the company's tax and administrative obligations.
