Taxes Due. Each Company shall pay, or shall cause to be paid, to the applicable Tax Authority when due (i) except as set forth in Section 5.04(c), all Income Taxes with respect to such Separate Return; and (ii) all Property Taxes, in each case for which such Company is responsible pursuant to Section 2.

Taxes Due. Any and all local, New York State and Federal taxes now existing or due on the transactions contemplated in this Agreement, if any, shall be paid as follows:
A. All taxes reflected on the Prospect Financial Statements or on Schedule 2.3(C) or on the Closing Date Balance Sheet are the responsibility of Capital. In addition, Capital hereby assumes Seller's other taxes incurred in the ordinary course of business, including, but not be limited to, the following taxes, charges or withholdings (accrued or unaccrued):
(i) NYC Corporate (ii) Any NYS Corporate (Franchise) Tax (iii) FICA (iv) Federal, State, Local Withholding Taxes (v) FUTA (Unemployment)
B. Prospect Shareholders will be responsible for such tax, if any, resulting from this transaction as reportable as income or loss under the Subchapter S Rules of the Internal Revenue Code and similar New York State and City taxes.
C. Notwithstanding the foregoing, Prospect or Prospect's Shareholders shall be responsible for any taxes due for years prior to the year commencing January 1, 2001, including any amounts due pursuant to any future audit by any taxing authority, except as set forth on Schedule 2.3(C).

Taxes Due. Any documentary stamp taxes or other taxes due in connection with this Note shall be paid by Maker.
Taxes Due. License Fees specified in Article 5 or previously quoted to Licensee are exclusive of any and all taxes or fees, including, but not limited to, sales tax, use tax, value-added tax (VAT), customs, duties, or tariffs, and shipping and handling charges.
