Basic Transaction. On and subject to the terms and conditions of this Agreement, the Buyer agrees to purchase from the Seller, and the Seller agrees to sell to the Buyer, all of his Company Shares for the consideration specified below in this (S) 2.
Basic Transaction. On and subject to the terms and conditions of this Agreement, the Buyer agrees to purchase from the Seller, and the Seller agrees to sell to the Buyer, the Shares and the Warrants and the Buyer agrees to pay to the Seller the Purchase Price.

Basic Transaction. Subject to the terms and conditions set forth in this Agreement, the Buyer agrees to purchase from the Seller, and the Seller agrees to sell to the Buyer, all the Acquired Assets free and clear of any Encumbrance or Tax, for the consideration specified in Section 2.3. The Buyer will have no obligation under this Agreement to purchase less than all of the Acquired Assets.
Basic Transaction. On and subject to the terms and conditions of this Agreement, Buyer agrees to purchase from Seller, and Seller agrees to sell to Buyer, the Target Shares for the consideration specified below in Section 1.2.

(i) On and subject to the terms and conditions of this Agreement, the Purchaser agrees to purchase from the Seller, and the Seller agrees to sell and transfer to the Purchaser, all of the legal and beneficial ownership in the Participation Interest for the consideration specified below in this Article II.
