Common use of Basic Transaction Clause in Contracts

Basic Transaction. Subject to the terms and conditions set forth in this Agreement, the Buyer agrees to purchase from the Seller, and the Seller agrees to sell to the Buyer, all the Acquired Assets free and clear of any Encumbrance or Tax, for the consideration specified in Section 2.
