Administration. This Plan will be administered by the Compensation Committee. The Compensation Committee shall make the rules and regulations necessary to administer this Plan. The Compensation Committee shall have the discretionary authority and responsibility to determine eligibility for benefits (including without limitation determinations as to the existence or non-existence of Good Cause or Good Reason) and the amount of such benefits, and to construe the terms of the Plan. The determinations and constructions of the Compensation Committee will be final, binding and conclusive as to all parties, unless found by a court of competent jurisdiction to be arbitrary and capricious.
