Common use of Administration Clause in Contracts

Administration. The Administrator shall have the power to interpret the Plan and this Agreement and to adopt such rules for the administration, interpretation and application of the Plan as are consistent therewith and to interpret, amend or revoke any such rules. All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon Participant, the Company and all other interested persons. No member of the Committee or the Board shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or the Option.

Administration. All actions taken and all interpretations and determinations made by the Administrator in good faith shall will be final and binding upon Participant, the Company and all other interested persons. No To the extent allowable pursuant to Applicable Law, no member of the Committee or the Board shall will be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, Plan or this Agreement or the OptionAgreement.

All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon Participant, the Company and all other interested persons. No member of the Committee or the Board Administrator shall be personally liable for any action, determination determination, or interpretation made in good faith with respect to the Plan, this Agreement Plan or the OptionRestricted Shares.

All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon Participantthe Grantee, the Company and all other interested persons. No member of the Committee or the Board Administrator shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or any similar agreement to which the OptionCompany is a party.

The Plan Administrator shall have the power to interpret the Plan and this Agreement and to adopt such rules for the administration, interpretation and application of the Plan as are consistent therewith and to interpret, amend interpret or revoke any such rules. All actions taken and all interpretations and determinations made by the Plan Administrator in good faith shall be final and binding upon Participantthe Employee, the Company and all other interested persons. No member of the Committee or the Board Plan Administrator shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement Plan or the Option. Except as set forth in the Plan, the Board shall have no right to exercise any of the rights or duties of the Plan Administrator under the Plan and this Agreement.

The Administrator shall have the power to interpret the Plan and this Agreement and to adopt such rules for the administration, interpretation and application of the Plan as are consistent therewith and to interpret, amend or revoke any such rules. All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon Participant, the Company Company, the Partnership and all other interested persons. No member of the Committee or the Board shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or the Option.

The Administrator shall have the power to interpret the Plan and this Agreement and to adopt such rules for the administration, interpretation and application of the Plan as are consistent therewith and to interpret, amend or revoke any such rules. All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon Participant, the Company and all other interested persons. No Neither the Administrator nor any member of the Committee or the Board shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or the OptionAward.

All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon Participant, the Company and all other interested persons. No member of the Committee or the Board shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or the Option.

The Administrator shall have the exclusive power to interpret the Plan and this Agreement and to adopt such rules for the administration, interpretation and application of the Plan and this Agreement as are consistent therewith and to interpret, amend or revoke any such rules. All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon Participant, the Company and all other interested persons. No member of the Compensation Committee of the Board or the Board shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or the Option.

No member terms and conditions of the Committee or the Board shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or the Optionengagement.

Without limiting the generality of the foregoing, all determinations, interpretations and assumptions relating to the calculation and vesting of the Performance Award (including, without limitation, determinations, interpretations and assumptions with respect to Average XXX and Average ROIC) shall be made by the Administrator. All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon the Participant, the Company and all other interested persons. No member of the Committee or the Board shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or the Option.

The Subject to any limitations contained in the Plan, the Administrator shall have the power to interpret the Plan Plan, the Grant Notice and this Agreement and to adopt such rules for the administration, interpretation and application of the Plan as are consistent therewith and to interpret, amend or revoke any such rules. All actions taken and all interpretations and determinations made by the Administrator in good faith shall be final and binding upon Participant, the Company and all other interested persons. No member of the Committee Administrator or the Board shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, the Grant Notice, this Agreement or the Option.

All actions taken and all interpretations and determinations made by the Plan Administrator in good faith shall be final and binding upon ParticipantOptionee, the Company Corporation and all other interested persons. No member of the Committee or the Board Plan Administrator shall be personally liable for any action, determination or interpretation made in good faith with respect to the Plan, this Agreement or the Option. In its absolute discretion, the Board may at any time and from time to time exercise any and all rights and duties of the Plan Administrator under the Plan and this Agreement.
