The Prospectus and any amendments or supplements thereto furnished to the Underwriter will be identical to the electronically transmitted copies thereof field with the Commission pursuant to XXXXX, except to the extent permitted by Regulation S-T.

To the knowledge of the Seller, the Seller is not currently and has not been an “affiliate” (as defined in Rule 144 promulgated under the 0000 Xxx) of the Issuer and neither the Seller nor anyone acting on the Seller’s behalf has taken any action which would subject the sale of the Assigned Interests to the registration provisions of Section 5 of the 1933 Act.
