Option Units means the Common Units that the Partnership will agree to issue upon an exercise of the Over-Allotment Option.
Offered Units has the meaning set forth in Section 9.03(a)(i).
Offerees has the meaning set forth in Section 5.4(a).
public units means the state or a political subdivision or instrumentality of the state including a county, school corporation, special district, drainage district, unincorporated town or township, municipality, or municipal corporation or any agency, board, or commission of the state or a political subdivision; any court or public body; an electric power agency; federal and state grant moneys of a quasi-public state entity under Iowa Code section 12C.1, subsection (2e), and this chapter. Public units additionally include, but are not limited to:
Option Securities shall have the meaning ascribed to such term in Section 2.2(a).
Offered Shares has the meaning set forth in Section 3.02(a).
Purchased Units means, with respect to a particular Purchaser, the number of Common Units set forth opposite such Purchaser’s name under the column titled “Purchased Units” set forth on Schedule A hereto.
Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.
Option Style “Modified American”, as described under “Procedures for Exercise” below Option Type: Call Buyer: Counterparty Seller: Dealer
Option Stock shall have the meaning set forth in Section 2(a) hereof.
Initial Units means, with respect to any Initial Limited Partner, the aggregate number of Class A Units owned by such Initial Limited Partner as of the date of this Agreement.
Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.
Unsubscribed Shares means the Rights Offering Shares that have not been duly purchased by the Rights Offering Participants in accordance with the Rights Offering Procedures and the Plan.
Subscription Offering means the offering of the Conversion Stock to Participants.
Firm Shares has the meaning given to it in the first paragraph of this Agreement;
Privately Offered Certificates [______________], Mortgage Pass-Through Certificates, Series [_______], Class [__] issued pursuant to the Pooling and Servicing Agreement.
Purchased Securities has the meaning assigned in the Terms;
Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;
Option Shares shall have the meaning ascribed to such term in Section 2.2(a).
Forward Purchase Shares shall have the meaning given in the Recitals hereto.
Offered Certificates As specified in the Preliminary Statement.
Placing Shares means the 32,313,130 Shares to be issued by the Company pursuant to the Placing;
Purchaser Shares means the common shares in the capital of the Purchaser.
Purchased Shares has the meaning set forth in Section 2.01.
Offering Shares means the shares of Common Stock issued to the Purchasers pursuant to the Subscription Agreements, and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.
Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.
