No Conflict: Valid and Binding. The Consultant represents that neither the execution of this Agreement nor the performance of the Consultant's obligations under this Agreement will result in a violation or breach of any other agreement by which the Consultant is bound. The Company represents that this Agreement has been duly authorized and executed and is a valid and legally binding obligation of the Company, subject to no conflicting agreements.
No Conflict: Valid and Binding. The Advisor represents that neither the execution of this Agreement nor the performance of the Advisor’s obligations under this Agreement will result in a violation or breach of any other agreement by which the Advisor is bound. The Company represents that this Agreement has been duly authorized and executed and is a valid and legally binding obligation of the Company, subject to no conflicting agreements.
No Conflict: Valid and Binding. The Consultant warrants and represents that (i) neither the execution of this Agreement nor the performance of the Consultant’s obligations under this Agreement will result in a violation or breach of any other agreement by which the Consultant is bound, (ii) the Consultant has the legal power and authority and right to enter into and perform under this Agreement without violating the rights or obtaining the consent of any third party, and (iii) the Consultant is entering this Agreement as principal and not as agent for any other party. The Company represents that this Agreement has been duly authorized and executed and is a valid and legally binding obligation of the Company.
No Conflict: Valid and Binding. CONSULTANT represents that neither the execution of this Consulting Agreement nor the performance of CONSULTANT’s obligations under this Consulting Agreement will result in a violation or breach of any other agreement by which CONSULTANT is bound. SUNESIS represents that this Consulting Agreement has been duly authorized and executed and is a valid and legally binding obligation of SUNESIS, subject to no conflicting agreements.
No Conflict: Valid and Binding. Each party represents and warrants that neither the execution of this Agreement nor the performance of their obligations hereunder will result in a violation or breach of any other agreement or obligation by which the party is bound. The Company further represents and warrants that this Agreement has been duly authorized and upon execution shall be a legally binding obligation of the Company.

Each of Service Provider and Ifat represents that neither the execution of this Agreement nor the performance of Services and/or Service Provider’s and Ifat's obligations under this Agreement will result in a violation or breach of any other agreement by which Service Provider and/or Ifat is bound and that he/it has full power and right to enter into this Agreement. Service Provider and/or Ifat are not authorized to obligate the Company in any way and/or create any commitments of the Company, except to the extent explicitly authorized in advance by the Company in writing. No Conflict: Valid and Binding. The Employee represents that to his/her knowledge neither the execution of this Agreement nor the performance of the Employee’s duties under this Agreement will result in a violation or breach of any other agreement by which the Employee is bound. Employee will not enter into any agreement that would conflict with this agreement.

The Observer represents that neither the execution of this Agreement nor the performance of the Observer’s obligations under this Agreement will result in a violation or breach of any other agreement by which the Observer is bound. The Company represents that this Agreement has been duly authorized and executed and is a valid and legally binding obligation of the Company, subject to no conflicting agreements.

Each of Service Provider and Amir represents that neither the execution of this Agreement nor the performance of Services and/or Service Provider's and Amir's obligations under this Agreement will result in a violation or breach of any other agreement by which Service Provider and/or Amir is bound and that he/it has full power and right to enter into this Agreement. Service Provider and/or Amir are not authorized to obligate the Company in any way and/or create any commitments of the Company, except to the extent explicitly authorized in advance by the Company in writing.
