Changes to Company Shares. In the event of any stock dividend or distribution, or any change to the Company Shares by reason of any stock dividend or distribution, split-up, recapitalization, combination, exchange of shares or any other similar transaction, the term “Company Shares” as used in this Agreement shall be deemed to refer to and include the Company Shares and all such stock dividends and distributions and any securities into which or for which any or all of the Company Shares may be changed or exchanged or which are received in the relevant transaction.

  • Conversion of Company Shares As of the Effective Time, by virtue of the Merger and without any action on the part of the holder of any Company Share or Acquiror Share, each Company Share issued and outstanding immediately prior to the Effective Time (other than (a) shares to be cancelled in accordance with Section 3.2 and (b) Dissenting Shares) shall be converted into the right to receive in cash from Acquiror, without interest, an amount equal to $16.00 (the "Merger Consideration").
