During the Term, YTB will, or will cause ZamZuu to, charge ZamZuu Subscribers the then-applicable fee for use of the ZamZuu Affiliated Sites (which is currently $49.95 a month).
All ZamZuu Subscribers will become Subscribers for purposes of this Agreement and will utilize the agent tools and booking engine of Purchaser.
Subscribers shall have the meaning set forth in the section of this Escrow Agreement titled “Background.”
Subscriber means the subscriber to the Memorandum.
Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.
Subscriber Data means all data, information and other content provided by or on behalf of Subscriber to the Service, including that which the Account Users input or upload to the Service.
Active Subscriber means a Subscriber who has been authorized to receive signals of Zee Group Channels as per the subscriber management system and whose set top box has not been denied signals. “Total Active Subscribers
Purchasers is defined in Section 12.3.1.
Investor means the Buyer, any transferee or assignee thereof to whom a Buyer assigns its rights under this Agreement in accordance with Section 9 and who agrees to become bound by the provisions of this Agreement, and any transferee or assignee thereof to whom a transferee or assignee assigns its rights under this Agreement in accordance with Section 9 and who agrees to become bound by the provisions of this Agreement.
Commercial Subscriber means a subscriber who causes the signals of TV channels to be heard or seen by any person for a specific sum of money to be paid by such person.
Minimum Subscription means the minimum subscription for Shares as specified in the relevant Supplement.
SDSL or "Symmetric Digital Subscriber Line" is a baseband DSL transmission technology that permits the bi-directional transmission from up to 160 kbps to 2.048 Mbps on a single pair. "VDSL" or "Very High Speed Digital Subscriber Line" is a baseband DSL transmission technology that permits the transmission of up to 52 Mbps downstream (from the Central Office to the End User Customer) and up to 2.3 Mbps digital signal upstream (from the End User Customer to the Central Office). VDSL can also be 26 Mbps symmetrical, or other combination.
Selling Shareholder has the meaning set forth in Section 3.04(a).
Subscriber Agreement means an agreement that governs the issuance and use of a Certificate that the Applicant must read and accept before receiving a Certificate.
Residential Subscriber means any Person who receives Cable Service delivered to Dwelling Units or Multiple Dwelling Units, excluding such Multiple Dwelling Units billed on a bulk-billing basis.
Selling Shareholders sections in substantially the form attached hereto as Exhibit B. The Company shall use its reasonable best efforts to have the Initial Registration Statement declared effective by the SEC as soon as practicable, but in no event later than the Initial Effectiveness Deadline. By 9:30 a.m. New York time on the Business Day following the Initial Effective Date, the Company shall file with the SEC in accordance with Rule 424 under the 1933 Act the final prospectus to be used in connection with sales pursuant to such Initial Registration Statement.
CDSL means Central Depository Services (India) Ltd.
Annual Subscription means the subscription paid by a member in accordance with the Registered Clubs Act and being paid either annually or otherwise.
Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.
Subscription Software means software provided and hosted in the Computing Environment by SAP on a subscription basis as part of the HEC Subscription offering as identified in the Order Form.
Subscription Shares has the meaning ascribed to it in Section 2.1.
OAR means the Oregon Administrative Rules;
Founders means all Members immediately prior to the consummation of the IPO.
The Purchaser means the organization purchasing the Goods, as named in SCC.
Subscriber Information means any information contained in the form of computer data or any other form that is held by a service provider relating to subscribers of its services, other than traffic or content data, by which can be established:
