The minimum subscription under the Offer is $8,750,000, which represents the portion of the Offer which is underwritten (Minimum Subscription).
A Shareholder shall have his title to Shares evidenced by having his name, address and number of Shares held by him entered in the Register which shall be maintained in the manner required by law, provided that no person holding less than the Minimum Subscription shall be entered on the Register as a Shareholder.
