Minimum Subscription definition

Minimum Subscription means the minimum subscription from time to time specified in the Prospectus.

Examples of Minimum Subscription in a sentence

  • A transfer of Shares may not be registered if such transfer would result in the transferor or the transferee holding a number of Shares less than the Minimum Subscription.

  • A Shareholder shall have his title to Shares evidenced by having his name, address and number of Shares held by him entered in the Register which shall be maintained in the manner required by law, provided that no person holding less than the Minimum Subscription shall be entered on the Register as a Shareholder.

  • However, the right to convert Shares is subject to compliance with any condition (including any Minimum Subscription Amounts and eligibility requirements) applicable to the Class into which conversion is to be effected.

  • Therefore, if, as a result of a conversion, the value of a Shareholder's holding in the new Class would be less than the applicable Minimum Subscription Amount, the Board may decide not to accept the request for conversion of the Shares.

  • In the event that a repurchase of part only of a Shareholder’s holding of Shares leaves the Shareholder holding less than the Minimum Subscription the Directors may, if they think fit, require that the ICAV repurchase the whole of that Shareholder’s holding.
