Xxxxxxxxx Note definition

Xxxxxxxxx Note means the junior subordinated promissory note issued pursuant to paragraph IX(D) of the U.S. Exclusivity Agreement subject to such subordinated intercreditor provisions as may be acceptable to the Facility Agent (acting on the instruction of the Majority Lenders).

Xxxxxxxxx Note shall have the meaning set forth in Section 2.2(c) hereof.

Xxxxxxxxx Note means the Amended and Restated Promissory Note dated as of December 1, 1999 from the Seller in favor of Xxxxxxxxx L.L.C.

Xxxxxxxxx Note means that certain outstanding Convertible Promissory Note due from the Company to Xxxxxxx X. Xxxxxxxxx dated March 30, 2015 for the principal sum of $500,000.

Xxxxxxxxx Note means that certain Convertible Note issued to Xxxxxxxxx pursuant to the Omnibus Agreement, as it may, from time to time, be divided into multiple notes, and as amended, modified or supplemented in accordance with such Convertible Note.
