Convertible Note definition

Convertible Note shall have the meaning ascribed to such term in Section 2.1.
Convertible Note means an instrument issued by a startup company evidencing receipt of money initially as debt, which is repayable at the option of the holder, or which is convertible into such number of equity shares of such startup company, within a period not exceeding five years from the date of issue of the convertible note, upon occurrence of specified events as per the other terms and conditions agreed to and indicated in the instrument;
Convertible Note means an Existing Convertible Note or a New Convertible Note.

Examples of Convertible Note in a sentence

  • Designate all Obligations as “Senior Indebtedness” under, and as defined in, the Convertible Note.

  • This Note is an amendment and restatement of that certain Subordinated Secured Convertible Note, dated as of the Issuance Date, made by the Company in favor of the Holder in the original principal amount of $5,000,000.00 (the “Original Note”).
