Vested PSU definition

Vested PSU means PSUs which have vested in accordance with Section 6.4 or Article 7.
Vested PSU means each PSU outstanding immediately prior to the Effective Time that would vest and settle pursuant to its existing terms at any time prior to the date that is eighteen months immediately following the Closing Date (not taking into account any accelerated vesting in connection with a termination of employment or service). For the avoidance of doubt, no PSU with a three-year 77 performance period shall be a Vested PSU.

Examples of Vested PSU in a sentence

  • No Shares covered by a PSU shall be delivered to Executive until the PSU becomes a Vested PSU.

  • PSUs that vest pursuant to Section 1 (“Vested PSUs”) shall, subject to Section 13.B, be settled by the delivery to you or a designated brokerage firm of one Share per Vested PSU as soon as practicable following the applicable Vesting Date and your satisfaction of applicable tax withholding requirements.

  • For greater certainty, notwithstanding any other provision herein (other than Subsections 10.1 and 10.2), a Vested PSU may not be redeemed later than the Redemption Date.

  • The Company shall issue you one share of Common Stock for each Vested PSU, as described in the “Payment” section below.

  • Except where the context requires otherwise, each PSU which vests pursuant to Article 7 and each Dividend Equivalent Unit credited in respect of such PSUs after the Performance Period and prior to the date of settlement shall be referred to herein as a Vested PSU.

  • The Vested PSU Payout Percent will then be further reduced 5% for every 1% the Company’s annualized TSR is below the Comparator Group’s annualized TSR.

  • In addition to the PSUs, the Company hereby grants to Participant, with respect to each Vested PSU, an amount equal to the cash dividend the Company pays on each Share between the Date of Grant and the Settlement Date (each a “Dividend Equivalent Amount”).

  • The date on which a PSU becomes a Vested PSU is referred to as its “Vesting Date”.

  • Vested PSU are settled in cash equal to the number of vested units multiplied by the five-day average closing TSX share price up to and including the vesting date.

  • Except where the context requires otherwise, each PSU which vests pursuant to Article 7 shall be referred to herein as a Vested PSU.

Related to Vested PSU

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Vested Portion means, at any time, the portion of an Option which has become vested, as described in Section 3 of this Agreement.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Deferred Share Unit or “DSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 7;

  • PSU means Public Sector Undertaking

  • Vesting Event means the earliest to occur of the following events:

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Vested Units means those Units listed as vested Units in the books and records of the Partnership, as the same may be amended from time to time in accordance with this Agreement.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Vested Percentage means the sum of the following percentages: (i) 2% multiplied by your Years of Service, plus (ii) 8% multiplied by the number of Years you have been designated a participant in the Plan; provided, however, (w) prior to completing five Years of Service the Vested Percentage is 0,(x) on or prior to your fiftieth birthday your Vested Percentage may not exceed 50%, (y) on or prior to each of your birthdays following your fiftieth birthday your Vested Percentage may not exceed the sum of 50% plus the product obtained by multiplying 5% by the number of birthdays that have occurred following your fiftieth birthday, and (z) your Vested Percentage in no event may exceed 100%.

  • Vesting Dates means, as determined by the Board or by the Committee, the date as of which the Optionee shall be entitled to exercise the Options or part of the Options, as set forth in section 11 of the ISOP.

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;

  • Deferred Stock Account means a bookkeeping account maintained by the Company for a Participant representing the Participant's interest in the shares credited to such Deferred Stock Account pursuant to Paragraph 7 hereof.

  • Deferred Share means a Share which by its terms of issue is a deferred share as defined in the Statutes and includes a permanent interest bearing share and a Core Capital Deferred Share;

  • Vesting Period means the period of time specified by the Committee during which vesting restrictions for an Award are applicable.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Initial Vesting Date means the date occurring one (1) year after the Date of Option Grant.

  • Deferred Retirement Date means, in the case of any Participant who continues in employment after his Normal Retirement Date, the first day of any month following his actual retirement.

  • Vested means the nonforfeitable portion of any account maintained on behalf of a Participant.

  • RSUs means that number of Restricted Stock Units listed in the Award Notice as “Restricted Stock Units Granted.”

  • RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.
