ETP and USAC shall reasonably cooperate to permit USAC Management to make offers of employment to any Service Employees prior to the expiration of the Transition Services Period, which cooperation shall include, to the extent permitted by applicable law, allowing reasonable access to any Service Employees during normal business hours in order to conduct screening and interviews in connection with employment offer determinations.
ETP shall not (and shall cause its Affiliates not to) take any action (or omit to take any action) with the intent to directly or indirectly discourage any Service Employee from accepting any offer of employment made pursuant to this Section 1.8. The Parties acknowledge that the acceptance of employment offers, if any, made by USAC Management to a Service Employee is solely at the discretion of the individual Service Employee to whom offers of employment may be made.
The General Partner does not own any equity or similar interest or debt securities of any Person, other than the GP Interests and IDRs and all of the membership interests in USAC Management.
USAC Management agrees upon the General Partner’s request from time to time or at any time to provide the General Partner with certificates of insurance evidencing such insurance coverage and, upon request of the General Partner, shall furnish copies of such policies.
USAC Management agrees that, with respect to workers’ compensation insurance, it shall include each entity of the Partnership Group as a named insured on the same policy, unless otherwise instructed by the General Partner.
USAC Management shall not be liable for any expense, loss or damage whatsoever arising out of any interruption of Services or delay or failure to perform under this Agreement that is due to acts of God, acts of a public enemy, acts of terrorism, acts of a nation or any state, territory, province or other political division thereof, fires, floods, epidemics, riots, theft, quarantine restrictions, freight embargoes or other similar causes beyond the reasonable control of USAC Management.
In addition, to the extent necessary to verify the performance by USAC Management of its obligations under this Agreement, the General Partner shall have the right, at the General Partner’s expense, to audit, examine and make copies of or extracts from the books and records of USAC Management (the “Audit Right”).
The Partnership Group shall be responsible for all applicable Taxes imposed as a result of the Partnership Group’s receipt of Services under this Agreement, including any Taxes that the Partnership Group is required to withhold or deduct from payments to USAC Management, except any income tax imposed upon USAC Management.
USAC Management shall have no right or interest in any such Work Product, but may use such Work Product to perform Services hereunder, all in accordance with the limitations, duties and obligations imposed by this Agreement, including this Article VI.
The General Partner shall (a) exercise the Audit Right only upon reasonable written notice to USAC Management and during normal business hours and (b) use its reasonable efforts to conduct the Audit Right in such a manner as to minimize the inconvenience and disruption to USAC Management.
