Trust Account Dissolution Value means the amount held in the Trust Account as of the close of business on the second business day prior to the date of distribution of the Per Share Liquidation Value to holders of IPO Shares then outstanding (including (i) deferred underwriting discounts and commissions deposited into the Trust Account and (ii) interest earned on amounts held in the Trust Account (net of taxes payable on such interest)).
