Total Obligors definition

Total Obligors means, as of any date of determination, the aggregate number of Obligors under the Loan Assets included in the Borrowing Base (treating all Obligors that are Affiliates of one another as a single Obligor); provided that an Obligor will not be considered an Affiliate of any other Obligor (A) solely due to the fact that each such Obligor is under the control of the same financial sponsor or (B) if they have distinct corporate family ratings and/or distinct issuer credit ratings.
Total Obligors is defined in Recital E hereof.
Total Obligors means, as of any date of determination, the aggregate number of Obligors under the Loan Assets included in the Borrowing Base (treating all Obligors that are Affiliates of one another as a single Obligor); provided that an Obligor will not be considered an Affiliate of any other Obligor (A) solely due to the fact that each such Obligor is under the control of the same financial sponsor or (B) if they have distinct corporate family ratings and/or distinct issuer credit ratings. "Total Portfolio Value" means, as of any date of determination, the sum of the Principal Collections as of such date plus the amount of cash constituting the proceeds of Cure Contributions then standing to the credit of the Collection Accounts, plus the aggregate value of all Eligible Portfolio Assets as of such date determined by the Portfolio Asset Servicer in accordance with the valuation policy of the Portfolio Asset Servicer in effect on the Closing Date, together with any changes to such valuation policy (provided that if such change is material, the Borrower shall provide written notice of such change to the Calculation Agent within three (3) Business Days of the date of such change), and reflected in the most recent quarterly financial statements or audited annual financial statements (or unaudited financial statements for the fiscal year ending June 30, 2022) of Holdings in accordance with GAAP. "Transaction Documents" means this Agreement, any Revolving Loan Note, each Account Control Agreement, the Fee Letters, each Assignment and Assumption Agreement, each Participation Agreement and each agreement, instrument, certificate or other document related to any of the foregoing. "Transfer" means with respect to the Borrower (a) the acquisition by, or the transfer or assignment to, the Borrower of a Loan Asset and related Portfolio Asset pursuant to an assignment agreement or participation agreement (including, for the avoidance of doubt, the Closing Date Participations) or (b) the origination of a Loan Asset and related Portfolio Asset by the Borrower pursuant to an Underlying Agreement or Participation Agreement, as applicable. "Transferor" means any assignor of a Portfolio Asset under a Portfolio Asset Assignment.
