Threshold Notice definition

Threshold Notice shall have the meaning set forth in Section 7.3 of this Agreement.
Threshold Notice means a written notice from the Corporation to the holders of Series C Preferred stating that the Market Threshold has been achieved and providing reasonable evidence thereof.

  • Upon issuance of the Threshold Notice, Company shall suspend performance of the Company Work pending Company’s receipt of a Notice to Proceed (as defined below).

  • Following Customer’s receipt of the Threshold Notice, Company and Customer shall consult and Customer shall determine whether it wishes to (a) deliver an unconditional written direction to Company to complete the Company Work (“Notice to Proceed”) or (b) terminate this Agreement for convenience by delivering a written notice thereof to Company (“Convenience Termination Notice”).
