Threshold Notice definition

Threshold Notice shall have the meaning set forth in Section 7.3 of this Agreement.

Threshold Notice means a written notice from the Corporation to the holders of Series C Preferred stating that the Market Threshold has been achieved and providing reasonable evidence thereof.

• Upon issuance of the Threshold Notice, Company shall suspend performance of the Company Work pending Company’s receipt of a Notice to Proceed (as defined below).

• Following Customer’s receipt of the Threshold Notice, Company and Customer shall consult and Customer shall determine whether it wishes to (a) deliver an unconditional written direction to Company to complete the Company Work (“Notice to Proceed”) or (b) terminate this Agreement for convenience by delivering a written notice thereof to Company (“Convenience Termination Notice”).

• In the event that Customer does not deliver either a Notice to Proceed or a Convenience Termination Notice on or before one hundred twenty (120) days following the date of the Threshold Notice, this Agreement, at Company’s election, shall be deemed terminated for convenience by Customer.

• Upon our notification to you of this occurrence, you agree to be bound by the Merchant Services Agreement for Sub-merchants set forth in Exhibit A to this MMA (“Sub-merchant Agreement”) as if you had executed the Sub-merchant Agreement as of the date of our Threshold Notice.
