Therapeutic License definition

Therapeutic License has the meaning set forth in Section 2.1.
Therapeutic License means the rights and licenses granted in clause 2.1.
Therapeutic License shall have the meaning provided in Section 4.3.

Examples of Therapeutic License in a sentence

  • If MORPHOSYS receives a bona fide third party written request for a commercial license that overlaps with a Commercial Therapeutic License that (i) has not yet been the subject of a payment by CENTOCOR under Section 5.1(a)(i)(B) or 5.1(b) (“Third Party Request”), then MORPHOSYS shall submit to CENTOCOR a letter certifying that such Third Party Request exists, along with a description of the particular Commercial Target.

  • Unless terminated pursuant to Section 3.7(c), 3.12, 5.1(b) or 5.1(c), or Article 9, such license shall be perpetual, but shall convert to a non-exclusive license at such time as no royalty on the sale of Licensed Therapeutic Antibody Products covered by the Commercial Therapeutic License is any longer due to MORPHOSYS.

  • CENTOCOR shall submit a license request in accordance with Section 3.4 in such a way that it obtains a Commercial Therapeutic License under Section 3.3(a) for any Target no later than before such Target is added to the Research Collaboration.

  • If, however, CENTOCOR does not so agree, then such Commercial Target shall be de-listed from Appendix 3.3 and such Commercial Therapeutic License shall, retroactively with effect of the date of receipt of the Third Party Request, immediately and automatically revert to MORPHOSYS, with no additional fees due to MORPHOSYS, with respect to such reverted Commercial Therapeutic License.

  • For each Selected Target Family member for which a Therapeutic License is granted under Section 4.3, P&G shall pay to Sequenom a non-creditable, non-refundable license fee […***…], the first installment of which shall be payable within thirty (30) days after P&G’s exercise of its Option with respect to such Selected Target Family member, and the second and third installments of which shall be payable […***…] .

  • With respect to each Selected Target Family member, at any time during the Initial Research Term, P&G shall have the exclusive, non-transferable option to obtain a Therapeutic License with respect to such Selected Target Family member (the “Option”) by providing written notice of the exercise of such Option to Sequenom and the RC.

  • In the event of the grant of a Therapeutic License with respect to a Selected Target Family member under Section 4.3, P&G shall have the right to develop and commercialize Active Compounds and Licensed Products, for OP.

  • For the sake of clarity, before ONCOMED can request MORPHOSYS to conduct Antibody Affinity Optimization on any HuCAL Antibody, ONCOMED must have received a Commercial Therapeutic License covering such Target.

Related to Therapeutic License

  • Specific license means a license, under requirements prescribed by the department by rule, to possess, use, manufac- ture, produce, transfer or acquire radioactive material or devices or equipment utilizing radioactive material.

  • Sub-License means the sub-licensing of any space in the Station Development Assets and Project Utilities in the Station Development Project, by the Station Facility Manager to any licensee, in accordance with the Station Facility Management Agreement;

  • Biologics License Application or “BLA” means, with respect to a country or extra-national territory, a request for permission to introduce, distribute, sell or market a biologic product in such country or some or all of such extra-national territory, including pursuant to 21 CFR 601.2 in the U.S.

  • Copyleft License means any license that requires, as a condition of use, modification and/or distribution of software subject to such license, that such software subject to such license, or other software incorporated into, derived from, or used or distributed with such software subject to such license (i) in the case of software, be made available or distributed in a form other than binary (e.g., source code form), (ii) be licensed for the purpose of preparing derivative works, (iii) be licensed under terms that allow the Company’s or any Subsidiary of the Company’s products or portions thereof or interfaces therefor to be reverse engineered, reverse assembled or disassembled (other than by operation of Law) or (iv) be redistributable at no license fee. Copyleft Licenses include the GNU General Public License, the GNU Lesser General Public License, the Mozilla Public License, the Common Development and Distribution License, the Eclipse Public License and all Creative Commons “sharealike” licenses.

  • Research License means a nontransferable, nonexclusive license to make and to use the Licensed Products or the Licensed Processes as defined by the Licensed Patent Rights for purposes of research and not for purposes of commercial manufacture or distribution or in lieu of purchase.

  • Radiopharmaceutical means any drug that exhibits spontaneous disintegration of unstable nuclei with the emission of nuclear particles or photons and includes any non-radioactive reagent kit or radionuclide generator that is intended to be used in the preparation of any such substance, but does not include drugs such as carbon-containing compounds or potassium-containing salts that include trace quantities of naturally occurring radionuclides. The term also includes any biological product that is labeled with a radionuclide or intended solely to be labeled with a radionuclide.

  • Site License means for each product, the term “Site License” shall mean the license established upon acquisition of the applicable number of copies of such product and payment of the applicable license fees as set forth in the Statement of Work.

  • Therapeutic Equivalent means that a Covered Drug can be expected to produce essentially the same therapeutic outcome and toxicity.
