Term XXXXX Rate definition

Term XXXXX Rate means, for any calculation, with respect to any Revolver Loan denominated in Canadian Dollars, Term XXXXX for a tenor comparable to the applicable Interest Period, as published on the applicable Reuters screen page (or such other commercially available source providing such quotations as may be designated by the Administrative Agent from time to time) on the day that is two Business Days prior to the first day of such Interest Period (or, if such day is not a Business Day, then on the immediately preceding Business Day) with a term equivalent to such Interest Period plus the Term XXXXX Adjustment for such Interest Period.
Term XXXXX Rate shall have the meaning provided in the definition of "Alternative Currency Term Rate".
Term XXXXX Rate means, for any calculation with respect to any Term Benchmark Loan denominated in Canadian Dollars, the Term XXXXX Reference Rate for a tenor comparable to the applicable Interest Period on the day (such day, the “Periodic Term XXXXX Determination Day”) that is two Business Days prior to the first day of such Interest Period, as such rate is published by the Term XXXXX Administrator; provided, however, that if as of 1:00 p.m. (Toronto time) on any Periodic Term XXXXX Determination Day the Term XXXXX Reference Rate for the applicable tenor has not been published by the Term XXXXX Administrator and a Benchmark Replacement Date with respect to the Term XXXXX Reference Rate has not occurred, then the Term XXXXX Rate will be the Term XXXXX Reference Rate for such tenor as published by the Term XXXXX Administrator on the first preceding Business Day for which such Term XXXXX Reference Rate for such tenor was published by the Term XXXXX Administrator so long as such first preceding Business Day is not more than three Business Days prior to such Periodic Term XXXXX Determination Day; provided, further, that if the Term XXXXX Rate shall ever be less than zero, then the Term XXXXX Rate shall be deemed to be zero.

  • Notwithstanding anything to the contrary set forth herein, prior to the Term XXXXX Activation Date, the Borrowers may not borrow any Multicurrency Facility Loans as Term XXXXX Rate Loans or convert any Multicurrency Facility Loans to Term XXXXX Rate Loans.

  • Upon determining the Term XXXXX Rate, Term SOFR or Alternative Currency Term Rate for any Interest Period, Agent shall promptly notify the Administrative Borrower by telephone or electronically and, if requested by the Administrative Borrower, shall confirm any telephonic notice in writing.

  • Notwithstanding anything to the contrary set forth herein, (i) on the Term XXXXX Activation Date, any then outstanding Daily Simple XXXXX Rate Loans shall be converted to Term XXXXX Rate Loans in accordance with the terms of this Agreement and (ii) from and after the Term XXXXX Activation Date, the Borrowers may not borrow any Multicurrency Facility Loans as Daily Simple XXXXX Rate Loans or convert any Multicurrency Facility Loans to Daily Simple XXXXX Rate Loans.

  • Any change in the interest rate on a Loan resulting from a change in the Base Rate or, the Canadian Prime Rate, the Adjusted Term SOFR Rate, the Adjusted Term XXXXX Rate or Daily Simple XXXXX, shall become effective as of the opening of business on the day on which such change becomes effective.

  • Term SOFR Rate means, with respect to any Term Benchmark Borrowing and for any tenor comparable to the applicable Interest Period, the Term SOFR Reference Rate at approximately 5:00 a.m., Chicago time, two U.S. Government Securities Business Days prior to the commencement of such tenor comparable to the applicable Interest Period, as such rate is published by the CME Term SOFR Administrator.

  • Term SOFR Reference Rate means the forward-looking term rate based on SOFR.

  • Applicable Reference Rate means with respect to any Loan made in any currency, the rate indicated on Annex II under the heading “Applicable Reference Rate” for such currency.

  • Applicable LIBOR Margin means the per annum interest rate from time to time in effect and payable in addition to the LIBOR Rate applicable to the Revolving Loan, as determined by reference to Section 1.4(a).

  • Applicable Margin means, with respect to Advances of any Type at any time, the percentage rate per annum which is applicable at such time with respect to Advances of such Type as set forth in the Pricing Schedule.

  • SONIA Reference Rate means, in respect of any London Banking Day, a reference rate equal to the daily Sterling Overnight Index Average ("SONIA") rate for such London Banking Day as provided by the administrator of SONIA to authorised distributors and as then published on the Relevant Screen Page (or if the Relevant Screen Page is unavailable, as otherwise is published by such authorised distributors) on the London Banking Day immediately following such London Banking Day; and

  • Repo Rate on any day means the highest interest rate available to a Lender from investment in overnight repurchase agreements.

  • SOFR Rate means the rate that will be calculated by the Calculation Agent for each Accrual Period on the SOFR Adjustment Date as of the SOFR Determination Time (or, if the Benchmark is not SOFR, the Reference Time) and, except as provided below following a determination by the Administrator that a Benchmark Transition Event and its related Benchmark Replacement Date have occurred, shall mean, with respect to the Class A-2b Notes as of any SOFR Adjustment Date, a rate equal to Compounded SOFR; provided, that, the Administrator will have the right, in its sole discretion, to make applicable SOFR Adjustment Conforming Changes.

  • FX Rate means the “noon exchange rate” as reported by the Bank of Canada on any relevant date or if applicable, the rate calculated by the Calculation Agent, between the Canadian dollar and the foreign currencies into which some Reference Shares are denominated, expressed as the amount of Canadian dollars per one unit of foreign currency.

  • Compounded Daily Reference Rate means, with respect to an Interest Period, the rate of return of a daily compound interest investment in the Specified Currency (with the applicable Reference Rate (as indicated in the relevant Final Terms and further provided for below) as the reference rate for the calculation of interest) and will be calculated by the Calculation Agent on the Interest Determination Date, as follows, and the resulting percentage will be rounded, if necessary, to the fifth decimal place, with 0.000005 being rounded upwards:
