Tender Offer Account definition

Tender Offer Account as defined in Section 2.4(e).
Tender Offer Account means an account in the name of the Borrower opened with the Security Agent and designated as such by the Borrower and the Facility Agent.
Tender Offer Account means a deposit account designated by the Borrower and acceptable to the Administrative Agent in which the cash to be utilized to make payments to the Tender Offer Paying Agent for the purpose of financing the Share Repurchase is to be deposited on the Borrowing Date and thereafter paid over to the Tender Offer Paying Agent when and as required to make payments to the shareholders whose shares are being repurchased pursuant to the Share Repurchase pursuant to the Tender Offer Documents.

  • Tender Offer Date means, in respect of a Tender Offer, the date on which voting Shares in the amount of the applicable percentage threshold are actually purchased or otherwise obtained (as determined by the Calculation Agent).
