Target Documents definition

Target Documents has the meaning set forth in Section 3.3(a).
Target Documents as defined in Section 11.12.
Target Documents shall have the meaning given that term in Section 4.1.1.

Examples of Target Documents in a sentence

  • Each of the representations and warranties of Target and the RPS Securityholders contained in this Agreement or any of the Target Documents (disregarding all qualifications and exceptions contained therein relating to “Materiality”, “Material Adverse Effect” and similar terms and phrases) shall be true and correct in all material respects, with only such exceptions as would not, individually or in the aggregate, reasonably be expected to result in a Target Material Adverse Effect.

  • Each of the Target Documents, assuming the due authorization, execution and delivery thereof by each other party thereto at the Closing, will constitute legal, valid and binding obligations of Target, enforceable against Target in accordance with their respective terms, except as such enforceability may be limited by Equitable Limitations.

  • The Target Documents at the time filed did not contain any Misrepresentation and complied in all material respects with the requirements of applicable Laws.

  • Except as disclosed in Target Documents or set forth on Exhibit 3.16 to the Disclosure Schedule, Target holds all licenses, permits and other regulatory approvals which are needed or required by law with respect to its business, operations and facilities as they are currently or presently conducted (collectively, the "Licenses"), except where the failure to possess such Licenses does not have a Material Adverse Effect on Target.

  • Eligibility To be eligible for Earned Commissions under this Plan, you must: (1) be employed by the Company; (2) fulfill all of the conditions to Earning the Commissions as set forth in this Plan and your Target Document for each Measurement Period; and (3) sign and return acknowledgement of this Plan and the associated Target Documents.

  • Except as disclosed in Target Documents or on Exhibit 3.7 to the Disclosure Schedule, there is no material litigation, governmental investigation or other proceeding pending or, to the knowledge of Target, threatened against or relating to Target, its properties or business, or the transaction contemplated by the Plan of Merger and, to the knowledge of Target, no basis for any such action exists.

  • The acquisition by the Parent of certain assets of the target company pursuant to the Target Documents.

Related to Target Documents

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • Aircraft Documents means all flight records, maintenance records, historical records, modification records, overhaul records, manuals, logbooks, authorizations, drawings and data relating to the Airframe, any Engine, or any Part, or that are required by Applicable Law to be created or maintained with respect to the maintenance and/or operation of the Aircraft.

  • Related Documents mean and include without limitation all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Indebtedness.

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.

  • Term Documents means the Term Credit Agreement, the Term Guaranties, the Term Collateral Documents, any Term Hedging Agreements between any Term Loan Party and any Term Hedging Affiliate, those other ancillary agreements as to which the Term Agent or any Term Lender is a party or a beneficiary and all other agreements, instruments, documents and certificates, now or hereafter executed by or on behalf of any Term Loan Party or any of its respective Subsidiaries or Affiliates, and delivered to the Term Agent, in connection with any of the foregoing or any Term Credit Agreement, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time.

  • Related Agreements shall have the meaning specified in the recitals to the Administration Agreement.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Amendment Documents means this Amendment, the Credit Agreement (as amended by this Amendment), and each certificate and other document executed and delivered by the Borrowers pursuant to Section 5 hereof.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Notes and the Trust Securities.

  • Related Documentation means, with respect to Software, all materials, documentation (including control documentation utilized in connection with an audit), specifications, technical manuals, user manuals, flow diagrams, file descriptions and other written information that describes the function and use of such Software, but excluding source code.

  • Purchased Asset Documents means, with respect to a Purchased Asset, the documents comprising the Purchased Asset File for such Purchased Asset.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Procurement Documents means the procurement documents attached hereto as Schedule F (if any);

  • Relevant Documents has the meaning specified in Section 11.02.

  • Mortgaged Property Support Documents means with respect to any real property subject to a Mortgage, the deliveries and documents described on Schedule 1.01(e) attached hereto.

  • Debt Documents means, collectively, the Credit Agreement, the Designated Indebtedness Documents, any Hedging Agreement evidencing or relating to any Hedging Agreement Obligations and the Security Documents.

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.
