Sublease SNDA definition

Sublease SNDA means a subordination, non-disturbance and attornment agreement between Landlord and a Subtenant in the form annexed as Exhibit D-3 hereto, and in proper form for recording, together with such changes thereto that are both proposed by a Subtenant and approved by Landlord; it being agreed that Landlord shall not unreasonably withhold its approval of any such proposed change so long as (i) such proposed change is customary (at the time in question), and (ii) such proposed change does not (to more than a de ________________________________________________________________________________________________________________________ minimis extent) decrease Landlord’s rights, or increase Landlord’s obligations, from those contained in the form of Sublease SNDA annexed as Exhibit D-3 hereto.

Sublease SNDA shall have the meaning assigned to such term in the definition ofReal Property Asset Deliverables” contained in this Section 1.01.

  • In the event that the Orchards Sublease Lender has not executed, acknowledged and delivered the Orchards Sublease SNDA to Seller or Purchaser on or before 5:00 p.m. Arizona time on March 1, 2017, then the Deposit shall be returned to Purchaser, this Agreement shall thereupon automatically terminate and except as expressly provided for in this Agreement, neither Seller nor Purchaser shall have any further liability or obligation to the other under this Agreement.

  • Operating Lease means, as applied to any Person, any lease (including, without limitation, leases which may be terminated by the lessee at any time) of any Property (whether real, personal or mixed) which is not a Capital Lease other than any such lease in which that Person is the lessor.

  • Master Lease Agreement has the meaning set forth in Section 7.2(c)(xiv).

  • Sublessee means any party to whom Lessee grants the right to possess all or any portion of the Premises according to a Sublease.

  • Lease Agreement means the bargain, with respect to the lease, of the lessor and the lessee in fact as found in their language or by implication from other circumstances including course of dealing or usage of trade or course of performance as provided in this article. Unless the context clearly indicates otherwise, the term includes a sublease agreement.

  • Head Lease or “Superior Lease” means the document which sets out the promises the Landlord has made to the Superior Landlord. The promises contained in this Head Lease will bind the Tenant if he has prior knowledge of those promises.

  • Subtenant means any Person entitled to occupy, use, or possess any Premises under a Sublease.

  • Master Leases refers to the four second amended and restated master lease agreements, dated as of April 27, 2007, by and among the Operating Partnership and Kindred Healthcare, Inc. and Kindred Healthcare Operating, Inc.

  • Subleases means the Sublease(s) of even date herewith by and between the District and Contractor together with any duly authorized and executed amendment hereto under which the District subleases the Site from the Contractor.

  • Landlord Consent and Estoppel means, with respect to any Leasehold Property, a letter, certificate or other instrument in writing from the lessor under the related lease, pursuant to which, among other things, the landlord consents to the granting of a Mortgage on such Leasehold Property by the Credit Party tenant, such Landlord Consent and Estoppel to be in form and substance reasonably acceptable to Collateral Agent in its reasonable discretion, but in any event sufficient for Collateral Agent to obtain a Title Policy with respect to such Mortgage.

  • Existing Lease shall have the meaning assigned thereto in Section 10.7.

  • Sublessor means one who conveys real property by sublease."
