Sponsor Certificate. A certificate executed by an Authorized Official of the Sponsor that is (i) with respect to any certificate delivered pursuant to Section 4.1 of the Common Agreement, dated as of the Financial Closing Date and substantially in the form attached as Exhibit E1 to the Common Agreement, (ii) with respect to any certificate delivered pursuant to Section 4.2 of the Common Agreement, dated as of the Advance Notice Date and substantially in the form attached as Exhibit E2 to the Common Agreement, (iii) delivered as a condition precedent to Physical Completion or Project Completion, or (iv) with respect to any other certification to be made by the Sponsor pursuant to any Loan Document, addressing such matters as are specified in such Loan Document.
