Special Stock definition

Special Stock means shares of Series A Junior Participating Special Stock, no par value, of the Company, and, to the extent that there are not a sufficient number of shares of Series A Junior Participating Special Stock authorized to permit the full exercise of the Rights, any other series of special stock, no par value, of the Company designated for such purpose containing terms substantially similar to the terms of the Series A Junior Participating Special Stock.
Special Stock has the meaning set forth in the recitals hereto.
Special Stock as used herein, and wherever referenced in the Initial Purchase Agreement, shall be deemed, for the purposes of this Restructured Purchase Agreement, to mean, collectively, the Class A Stock and the Class B Stock; and

  • Grants made by the Special Stock Option Committee pursuant to this Section 5 are intended to comply with and otherwise satisfy the requirements of Rule 16b-3.
