Directing Certificateholder. With respect to (A) any Servicing Shift Mortgage Loan, the Directing Certificateholder shall be the related Loan-Specific Directing Certificateholder and (B) each Mortgage Loan (other than any Servicing Shift Mortgage Loan and any Excluded Loans), the initial Directing Certificateholder shall be 3650 Real Estate Investment Trust 2 LLC. After the occurrence and during the continuance of a Control Termination Event, the Directing Certificateholder described in clause (B) above shall only retain its consultation rights to the extent specifically provided for herein. After the occurrence and during the continuance of a Consultation Termination Event, there will be no Directing Certificateholder as described in clause (B) above.
