This Agreement and the Shareholders Agreement, when executed and delivered by each Series C Purchaser, will constitute valid and legally binding obligations of each Series C Purchaser, subject, as to enforcement of remedies, to applicable bankruptcy, insolvency, moratorium, reorganization and similar laws affecting creditors’ rights generally and to general equitable principles.
