In the event that the Redeveloper is, for any reason, not able to proceed to the Phase 2 Closing by the Second Outside Date, the Redeveloper shall, no later than seven (7) days after the Second Outside Date, transfer the New Town Parcel to the Town at no cost to the Town.
This Agreement shall terminate if the Phase 1 Closing does not take place by the First Outside Date, the Phase 2 Closing does not take place by the Second Outside Date, or the Phase 3 Closing does not take place by the Third Outside Date.
