Second Outside Date. Section 8.2(a) “Securities Act” Section 3.6(a)
Second Outside Date means the ninetieth (90th) day following the date which is the later to occur of: (a) the date upon which all prepaid Rent and the Letter of Credit are delivered to Landlord, and (b) the Scheduled Commencement Date (i.e., November 1, 2008); provided, however, the Second Outside Date shall be postponed by the number of days Landlord’s delivery to Tenant of possession of the Premises with the Landlord’s Work Substantially Completed is delayed due to events of Force Majeure (as defined in Paragraph 12(f) below). The right to accelerate the Expiration Date as provided in this grammatical paragraph shall be the sole remedy of Tenant for any delay by Landlord in delivering possession of the Premises to Tenant beyond the Second Outside Date, except as set forth in the immediately preceding grammatical paragraph.
