RemainCo RSUs means restricted stock units or deferred stock units issued under any of the RemainCo Legacy Equity Plans before the Distribution Date that are not subject to performance conditions.
RemainCo shall have the meaning set forth in the Preamble.
Company RSUs means any restricted stock units granted under any of the Company Equity Plans.
Company RSU Award means any award of restricted stock units or performance stock units outstanding under the Company Stock Plans.
RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.
RSUs means that number of Restricted Stock Units listed in the Award Notice as “Restricted Stock Units Granted.”
SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.
RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).
PSU means Public Sector Undertaking
Company PSUs means any performance-based restricted stock units of the Company, whether granted pursuant to any of the Company Stock Plans or otherwise.
Company Stock Plans has the meaning set forth in Section 3.02(b).
Unvested Company Option means any Company Option that is not a Vested Company Option.
DSUs means the deferred share units granted under the DSU Plan;
Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).
Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.
Parent Stock Plans has the meaning set forth in Section 4.5(a).
SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.
PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;
Company RSU means each award of restricted stock units of the Company outstanding under any Company Stock Plan or otherwise.
Company Option Plans means the Company’s 1999 Stock Option Plan and 2000 Stock Plan, each as amended, or any other compensatory option plans or Contracts of the Company, including, without limitation, option plans or Contracts assumed by the Company pursuant to a merger or acquisition.
Equity Award means stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares or any other form of award that is measured with reference to the Stock.
Deferred Stock Units means the number of hypothetical Shares subject to an Election.
Company Equity Awards means the Company Options, Company PSUs and Company RSUs.
Prior Plans means, collectively, the Company’s 2006 Long-Term Incentive Plan, as amended, 2009 Long-Term Incentive Plan, 2012 Long-Term Incentive Plan and 2013 Long-Term Incentive Plan. Awards granted under the Prior Plans continue to be governed under the terms of those Prior Plans.
Company PSU means a restricted stock unit issued by the Company pursuant to a Company Equity Plan that vests in whole or in part upon the achievement of one or more performance goals (notwithstanding that the vesting of such restricted stock unit may also be conditioned upon the continued services of the holder thereof), pursuant to which the holder has a right to receive Shares after the vesting or lapse of restrictions applicable to such unit. “Company PSU” shall not include Company RSUs.
Company Restricted Stock Unit means any restricted stock unit award subject to service-based vesting, payable in shares of Company Common Stock or the value of which is determined with reference to the value of shares of Company Common Stock, whether granted under a Company Stock Plan or otherwise.
SpinCo Employee means any individual who, as of the Effective Time, is employed by or will be employed by Spinco or any member of the Spinco Group, including active employees and employees on vacation and approved leave of absence (including maternity, paternity, family, sick leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, short- or long-term disability leave, leave under the Family Medical Leave Act and other approved leave).
