REIMBURSEMENT OF FEES AND COSTS. The Parties acknowledge that Xxxxxxxx and his counsel offered to reach preliminary agreement on the material terms of this dispute before reaching terms on the amount of fees and costs to be reimbursed to them. The Parties thereafter reached an accord on the compensation due to Xxxxxxxx and his counsel under general contract principles and the private attorney general doctrine and principles codified at California Code of Civil Procedure § 1021.5, for all work performed through the mutual execution of this agreement. Under these legal principles, Crest shall reimburse Xxxxxxxx’x counsel for fees and costs incurred as a result of investigating and bringing this matter to Crest’s attention, and negotiating a settlement in the public interest. Within ten (10) days of the Effective Date, Crest shall issue a check payable to “Xxxxxxx & Xxxxx, LLC” in the amount of $5,500.00 for delivery to the address identified in § 3.2(a)(i), above.

Held then expressed a desire to resolve the fee and cost issue shortly after the other settlement terms had been finalized. The parties then attempted to (and did) reach an accord on the compensation due to Held and his counsel under general contract principles and the private attorney general doctrine codified at California Code of Civil Procedure § 1021.5, for all work performed through the mutual execution of this Settlement Agreement. ICUP shall pay $25,500 to The Chanler Group for fees and costs incurred as a result of investigating, bringing this matter to ICUP’s attention, and negotiating a settlement in the public interest. ICUP shall provide a check in the amount of $25,500 payable to “The Chanler Group” and shall deliver the check for the payment to The Chanler Group on or before July 16, 2015, to the address listed in Section 3.3 above.

Within thirty (30) days of the Effective Date, Metolius shall issue a check payable to “Xxxxxxx & Xxxxx” in the amount of $18,000.00 for delivery to the address identified in § 3.2(a)(i), above.

Under these legal principles, Xxxxxx shall reimburse Eden’s counsel for fees and costs incurred as a result of investigating and bringing this matter to Xxxxxx’s attention and negotiating a settlement in the public interest. Within seven (7) days of the Effective Date, Rocket shall issue one check payable to “Xxxxxxx Xxxxx APC” in the amount of fifteen thousand dollars ($15,000.00) and deliver it to the address identified in § 8(a), below.
