Recorded Assignments definition

Recorded Assignments. All assignments of the Mortgage Loans required to legally vest record title to the Mortgage Loans in MERS, which assignments shall be properly recorded, individually or as blanket assignments, where permitted by the applicable recorder’s office.
Recorded Assignments. All assignments of the Mortgage Loans, notices of transfer or equivalent instruments in recordable form sufficient under Investor Guidelines and the laws of the jurisdiction wherein the related Mortgaged Property is located to reflect the transfer of the Mortgage Loan to the Purchaser, or if the related Mortgage has been recorded in the name of MERS, such actions as are necessary to cause the Purchaser as the owner of the related Servicing of the Mortgage Loan on the records of MERS for purposes of the MERS® System.

Examples of Recorded Assignments in a sentence

  • Seller shall diligently pursue obtaining the Recorded Assignments and shall deliver same to Purchaser immediately upon receipt.

  • As provided for in subparagraph 5(d), Seller shall be responsible for preparing and delivering all documents necessary to legally transfer and assign all right, title and interest in and to the Servicing of the Mortgage Loans, including the Recorded Assignments.

  • Recorded Mortgages/Deeds of Trust, Title Insurance Policy, Recorded Assignments, Mortgage Insurance Certificationes identified with Chase’s 10 digit loan number and pool number and Seller’s Loan Number: include transmittal cover sheet for return receipt.

  • Unless previously recorded in the Investor’s name or MERS, as evidenced of record in the Mortgage File, Seller shall, at its expense, cause to be prepared, executed, and, where applicable, record all documents necessary to legally transfer and assign all right, title and interest in and to the Servicing of the Mortgage Loans from Seller to MERS including, without limitation, the Mortgage Note endorsements and the Recorded Assignments.

  • With respect to any Mortgage Loan that is not a MERS Loan, Seller shall send the Recorded Assignments for recording within ten (10) Business Days after the Sale and Transfer Date.

  • Recorded Assignments required by this Section 4.13 shall be delivered to Purchaser within twelve months (or in New York, Pennsylvania and Minnesota, no later than eighteen (18) months, (ii) in the U.S. Virgin Islands, no later than twenty-four (24) months and (iii) in Puerto Rico, no later than five (5) years) after the related Transfer Date.

  • Unless previously recorded in the Investor’s name, as evidenced of record in the Mortgage Loan file, Seller shall, at its expense, cause to be prepared, executed, and, where applicable, recorded all documents necessary to legally transfer and assign all right, title and interest in and to the Servicing of the Mortgage Loans from Seller to Purchaser including, without limitation, the Mortgage Note endorsements and the Recorded Assignments in to the name of MERS.

  • Seller shall send the Recorded Assignments for recording on the Transfer Date.

  • Seller shall send the Recorded Assignments for recording on the Sale and Transfer Date.

Related to Recorded Assignments

  • Lease Assignments means the assignments of real property leases and subleases by and between a member of the Nuance Group, as assignor, and a member of the SpinCo Group, as assignee, in each case as set forth on Schedule XII under the caption “Lease Assignments.”

  • Lease Assignment has the meaning set forth in Section 3.6(d).

  • Permitted Assignment means a Permitted Subsidiary Assignment or a Permitted Third-Party Assignment.

  • Qualified assignment agreement means an agreement providing for a qualified assignment within the meaning of section 130 of the Internal Revenue Code.

  • Assignment Agreements The following Assignment, Assumption and Recognition Agreements, each dated as of March 29, 2006, whereby certain Servicing Agreements solely with respect to the related Mortgage Loans were assigned to the Depositor for the benefit of the Certificateholders:

  • IP Assignment a collateral assignment or security agreement pursuant to which an Obligor grants a Lien on its Intellectual Property to Agent, as security for the Obligations.

  • Intellectual Property Assignments has the meaning set forth in Section 3.02(a)(iv).

  • Trademark Assignment shall have the meaning specified in Section 3.2(c).

  • Assignment of Leases With respect to any Mortgaged Property, any assignment of leases, rents and profits or similar agreement executed by the Mortgagor, assigning to the mortgagee all of the income, rents and profits derived from the ownership, operation, leasing or disposition of all or a portion of such Mortgaged Property, in the form which was duly executed, acknowledged and delivered, as amended, modified, renewed or extended through the date hereof and from time to time hereafter.

  • Assignment of Leases and Rents means each certain Assignment of Leases and Rents dated of even date herewith, by the Borrower in favor of the Agent on behalf of Lenders, as the same may be amended, restated, supplemented or otherwise modified from time to time.

  • First Assignment means: the relevant Assignment; orif, prior to the relevant Assignment:

  • Patent Assignment each patent collateral assignment agreement pursuant to which an Obligor assigns to Agent, for the benefit of Secured Parties, such Obligor’s interests in its patents, as security for the Obligations.

  • Intellectual Property Assignment has the meaning set forth in Section 3.02(a)(iii).

  • prospective assignment means an assignment that is intended to be made in the future, upon the occurrence of a stated event, whether or not the occurrence of the event is certain;

  • Intellectual Property Assignment Agreement means, with respect to each Specified Business, an agreement in form and substance reasonably acceptable to Seller and Buyer, providing for the assignment of the Transferred Intellectual Property Related to such Specified Business.

  • Trademark Assignment Agreement has the meaning set forth in Section 2.01.

  • Assignment of Lease means the Assignment of Lease to be executed by the Seller at the Closing with respect to each parcel of Leased Real Property listed on Section 3.16(b) of the Disclosure Schedule, in a form to be mutually agreed by the Seller and the Purchaser.

  • IP Assignment Agreement has the meaning set forth in Section 3.2(a)(iii).

  • Assignment Taxes has the meaning set forth in Section 3.01(b).

  • Assignment and Conveyance Agreement As defined in Subsection 6.01.

  • Patent Assignment Agreement means the patent assignment agreement substantially in the form of Exhibit A.
