Program Abandonment definition

Program Abandonment means, with respect to a single Program, prior to the First Commercial Sale of a Product in such Program, the failure of Merck or any of its Affiliates or Sublicensees to initiate or conduct any material Research or Development activities (including, for the avoidance of doubt, activities directed to resolving any clinical hold) with respect to any Licensed Compound or Product in such Program during any [***] period; provided that such [***] period will automatically be tolled so long as and to the extent that failure to initiate or conduct any material Research or Development is a result of a Force Majeure, Third Party supply failure or safety issue and Merck is using Commercially Reasonable Efforts to resolve such Force Majeure, Third Party supply failure or safety issue.
Program Abandonment means, with respect to a Program, the election by the Buyer to abandon the further development of the Program or the public announcement by the Buyer that it has abandoned further development of the Program.

  • Furthermore, a Voyager Program Abandonment shall not have occurred if such failure to initiate or conduct Development activities is a result of a regulatory delay, a force majeure event, or a determination by the PSC or an agreement by the Parties to halt R&D Activities or Development activities for such Agreement Program.

  • This Agreement will become effective as of the Effective Date and, unless earlier terminated pursuant to the provisions of Section 9.2, will expire upon the earlier to occur of (a) a Profit Generating Event or (b) 180 days after CicloMed informs Notable of a Permanent Program Abandonment (the “Term”).

Related to Program Abandonment

  • Program Assets means any assets, goods or property (real, tangible or intangible) purchased or financed in whole or in part (directly or indirectly) by MCC Funding.

  • Interconnection Feasibility Study means either a Generation Interconnection Feasibility Study or Transmission Interconnection Feasibility Study.

  • Development Permit means a document authorizing a development issued pursuant to this Land Use Bylaw;

  • Product Backlog means a list of those Stories that do not form part of the current Sprint Plan at that time and which are to form the subject of a future Sprint, either in the current Release at that time or a subsequent Release;

  • Development Property means a Property currently under development for use as an office or industrial building that has not become a Stabilized Property, or on which the improvements (other than tenant improvements on unoccupied space) related to the development have not been completed, provided that such a Development Property on which all improvements (other than tenant improvements on unoccupied space) related to the development of such Property have been completed for at least twelve (12) months shall cease to constitute a Development Property notwithstanding the fact that such Property has not become a Stabilized Property.

  • Project Completion means completion of the Redevelopment in accordance with this Agreement to the state where the whole of the Morley Shopping Centre, as so redeveloped, is capable of occupation for its intended purpose;

  • project completion period means the period of sixty (60) months commencing from and expiring on for the construction and obtaining of Temporary Occupation Permit or Permits for the whole of the Development as provided in clause 3.3;

  • Processing Plant means plant systems, located on or off the Leased Premises, that include a gas processing plant, natural gasoline plant, gasoline plant, or other plant where raw unprocessed natural gas is processed to remove or extract Raw Mix from the natural gas stream to produce a Pipeline- Quality Natural Gas or Residue Gas and other products, and the Raw Mix is then either (i) separated by fractionation down to its base components prior to storage and/or transport that meets or conforms to all applicable Gas Processors Association (GPA) Standards and/or Specifications for the commercial sale of each liquefiable hydrocarbon product, or (ii) transported to another plant for separation down to its base components by fractionation prior to storage and/or transport for the commercial sale of each liquefiable hydrocarbon product. Any deductions, costs, or processing fees associated with the removal or recovery of Natural Gas Liquids is strictly limited to only that part of any Processing Plant or facility where Raw Mix is recovered, and if applicable at that plant, also fractionated to their component parts.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • Discovery Area means that part of the Contract Area about which, based upon Discovery and the results obtained from a Well or Xxxxx drilled in such part, the Contractor is of the opinion that Petroleum exists and is likely to be produced in commercial quantities.

  • Construction in Progress means each Property that is either (a) new ground up construction or (b) under renovation in which (i) greater than thirty percent (30%) of the square footage of such Property is unavailable for occupancy due to renovation and (ii) no rents are being paid on such square footage. A Property will cease to be classified as “Construction in Progress” on the earlier to occur of (A) the time that such Property has an Occupancy Rate of greater than eighty percent (80%), or (B) one hundred eighty (180) days after completion of construction or renovation of such Property, as applicable.

  • Remediation Period has the meaning specified in Section 8.2(a);

  • member of the work-related activity group means a person who has or is treated as having limited capability for work under either—

  • Substitute Improvements means the substitute or additional improvements of the Issuer described in Article V hereof.

  • Development Activity means any activity defined as Development which will necessitate a Floodplain Development Permit. This includes buildings, structures, and non-structural items, including (but not limited to) fill, bulkheads, piers, pools, docks, landings, ramps, and erosion control/stabilization measures.
