Clean-Up Period definition

Clean-Up Period has the meaning specified in Section 8.02(b).
Clean-Up Period shall have the meaning assigned to such term in Section 7.02.
Clean-Up Period means the 90-day period commencing on the Closing Date.

Examples of Clean-Up Period in a sentence

  • If the relevant circumstances are continuing after the Clean-Up Period, there shall be a breach of representations or warranties, breach of covenant or Event of Default, as the case may be, notwithstanding the above (and without prejudice to the rights and remedies of the Lenders).

  • If the relevant circumstances are continuing on or after the end of the Clean-Up Period, there shall be an Event of Default notwithstanding the above (and without prejudice to the rights and remedies of Homes England and DLUHC).

  • Notwithstanding the above, if the relevant circumstances are continuing after the expiry of the Clean-Up Period, there shall be an immediate Default or Event of Default, as applicable, and all rights and remedies which would apply with regard thereto but for this Section 6.03 shall arise and be exercisable.

  • Notwithstanding the immediately preceding sentence, if the relevant circumstances are continuing on or after the expiry of the Clean-Up Period, there shall be a breach of representation or warranty, notwithstanding the immediately preceding sentence (and without prejudice to the rights and remedies of the Administrative Agent and the Lenders).

  • Borrower acknowledges and aggress that no proceeds of the Revised LOC shall be available during the Annual Clean-Up Period.


More Definitions of Clean-Up Period

Clean-Up Period means in respect of any acquisition or Investment permitted under this Agreement by any member of the Restricted Group, the period commencing on the date of completion of such acquisition or Investment permitted under this Agreement and ending on the date that is 120 days after such date.
Clean-Up Period means the period commencing on the Closing Date and ending on the date that is 90 days after the date of the initial Borrowing hereunder.
Clean-Up Period means the period of 6 Months from and including the Unconditional Date.
Clean-Up Period with respect to any Permitted Acquisition or any other Permitted Clean-Up Investment, the period from the date of the consummation of such Permitted Acquisition or Permitted Clean-Up Investment until the date that is 90 days after such closing date.
