Private Unit definition

Private Unit means a PIMCO Advisors Unit (i) designated as a Private Unit in a written certificate executed by PIMCO Advisors and not subsequently revoked, (ii) issued pursuant to a Unit Incentive Plan covering PIMCO Advisors Units, or (iii) held by the noteholders pursuant to that certain Amended and Restated Note Agreement, dated as of September 26, 1997, as amended, between such noteholders and PIMCO Partners G.P., a California general partnership. Private Unitholder is defined in Section 5(a). Registration Statement is defined in Section 5(a). Restructuring is defined in the Recitals to this Agreement.
Private Unit means each unit of the aggregate of 570,000 units the Company sold to Public Gold Marketing Sdn. Bhd, a Malaysian private limited company, simultaneously with the consummation of the Company’s initial public offering.
Private Unit means each unit of the aggregate of 570,000 units Globalink sold to Public Gold Marketing Sdn. Bhd, a Malaysian private limited company, simultaneously with the consummation of Globalink’s initial public offering.

Examples of Private Unit in a sentence

  • If the Company does not complete the IPO within ten (10) days from the date of this letter, the Private Unit Purchase Price (without interest or deduction) will be returned to the undersigned.

  • Furthermore, each transfer of a Public Unit or a Private Unit on the register relating to such Units shall operate also to transfer the Warrants included in such Unit.

More Definitions of Private Unit

Private Unit has the meaning given to such term in Recital Nine of this Agreement.
Private Unit means each unit of the Company issued to the Sponsor and EarlyBirdCapital, Inc. in a private placement at the time of the consummation of the IPO at a price of $10.00 per Private Unit comprised of (a) one Private Subunit and (b) one-quarter of one Private Warrant.

  • Private Units means (x) the Units purchased in the private placement taking place simultaneously with the consummation of the Company’s IPO and (y) the additional Units that may be purchased in connection with the exercise of the over-allotment option by the underwriters in the IPO as described in the Registration Statement; (vi) “Registration Statement” means the registration statement on Form S-1 filed by the Company with respect to the IPO; and (vii) “Trust Fund” shall mean the trust fund into which a portion of the net proceeds of the Company’s IPO will be deposited.

  • Corporate Unit means the collective rights and obligations of a Holder of a Corporate Unit Certificate in respect of the Applicable Ownership Interest in Debentures or the Applicable Ownership Interest in the Treasury Portfolio, as the case may be, subject in each case to the Pledge thereof (except that the Applicable Ownership Interest in the Treasury Portfolio as specified in clause (ii) of the definition of such term shall not be subject to the Pledge), and the related Purchase Contract.

  • Market Rate Unit means a Residential Unit that is not an Affordable Unit.

If a Termination Delivery Unit consists of property other than cash or New Shares and Counterparty provides irrevocable written notice to the Calculation Agent on or prior to the Closing Date that it elects to deliver cash, New Shares or a combination thereof (in such proportion as Counterparty designates) in lieu of such other property, the Calculation Agent shall replace such property with cash, New Shares or a combination thereof as components of a Termination Delivery Unit in such amounts, as determined by the Calculation Agent in its discretion by commercially reasonable means, as shall have a value equal to the value of the property so replaced. If such Insolvency, Nationalization, Merger Event or Tender Offer involves a choice of consideration to be received by holders, such holder shall be deemed to have elected to receive the maximum possible amount of cash.

  • LLC Unit means a common limited liability interest in the Company.

  • Commercial unit means such a unit of goods as by commercial usage is a single whole for purposes of lease and division of which materially impairs its character or value on the market or in use. A commercial unit may be a single article, as a machine, or a set of articles, as a suite of furniture or a line of machinery, or a quantity, as a gross or carload, or any other unit treated in use or in the relevant market as a single whole.

  • Rental Unit means a structure or part of a structure used as a home, residence, or sleeping unit by a single person or household unit, or any grounds, or other facilities or area promised for the use of a residential tenant and includes, but without limitation, apartment units, boarding houses, rooming houses, mobile home spaces, and single and 2-family dwellings.

  • Dwelling unit means a single unit providing complete, independent living facilities for one or more persons, including permanent provisions for living, sleeping, eating, cooking and sanitation.

  • Eligible Unit means, as of the time any Liquidating Gain is available to be allocated to an LTIP Unit or a Performance Unit, an LTIP Unit or Performance Unit to the extent, since the date of issuance of such LTIP Unit or Performance Unit, such Liquidating Gain when aggregated with other Liquidating Gains realized since the date of issuance of such LTIP Unit or Performance Unit exceeds Liquidating Losses realized since the date of issuance of such LTIP Unit or Performance Unit, as applicable.

  • Procurement Unit means the unit or department within GRDA that is responsible for administering procurement policies and procedures.

  • Service unit means a standardized measure of consumption, use, generation, or discharge attributable to an individual unit of development calculated in accordance with generally accepted engineering or planning standards for a particular category of capital improvements.
