  • Each of the Group Companies, the Ordinary Shareholders and the PRC Co. Shareholders shall procure that all directors of the PRC WFOE, PRC Co. and any other direct or indirect subsidiary of the Group Companies shall be appointed and removed only as approved by the Board, including at least one (1) of the Series A Directors.
