Other than each of the Purchasers with respect to the Securities and as contemplated by the Existing Shareholder Agreement (with respect to the shares of Common Stock held by the Existing Shareholder) and the Placement Agents (with respect to the Placement Agent Shares), no Person has any right to cause the Company or any Subsidiary to effect a registration under the Securities Act of any securities of the Company or any Subsidiary.
Neither the Company nor any of its Subsidiaries has previously entered into any agreement granting any registration rights with respect to any of its securities to any Person that have not been satisfied in full, other than with respect to the registration rights granted to the Existing Shareholder and the holders of the Placement Agent Shares.
