Payee Party definition

Payee Party will have the meaning set forth in Section 8.1.
Payee Party means any Party that is seeking payment from a Party pursuant to the provisions of this Agreement.
Payee Party has the meaning set forth in Section 4.7(a).

Examples of Payee Party in a sentence

  • All payments to the Payee Party under this Agreement shall be made by bank wire transfer in immediately available funds to an account in the name of the Payee Party designated in writing by the Payee Party.

  • Once during each calendar year, each Payee Party may retain an independent certified public accountant reasonably acceptable to the Paying Party to audit the financial records described in Section 8.4, upon reasonable notice to the Paying Party, during regular business hours and under an obligation of confidentiality to the Paying Party.

  • If the audit demonstrates that the payments owed under this Agreement have been overstated, the Payee Party will refund to the Paying Party the amount of such overpayment.

  • All payments owed by the Paying Party or Payee Party under this Section 8.5 will be made within 30 days after the results of the audit are delivered to the Parties unless the Paying Party is disputing in good faith the results of the audit in which case the payment will be made within 30 days after resolution of such dispute.

  • Such Payee Party will bear all of the costs of such audit, except as provided below.
