  • Pan American shall make all requisite filings, and pay all applicable fees, under applicable Canadian securities laws to report the issuance of Pan American Shares pursuant to the Rights.

  • Such accounting will include the particulars of the issuance of Pan American Shares pursuant to the Rights, including the names and addresses of the Persons who become holders of Pan American Shares pursuant to the Rights and the certificate numbers.

  • On the Payment Date, the Rights Agent shall deliver to Pan American’s transfer agent all such executed written orders so held and such Pan American Shares shall, in accordance with the written orders, be registered in the names of the Holders.

  • Pan American or the Rights Agent, upon instruction from Pan American, may sell or otherwise dispose of such Pan American Shares through the investment banks, brokers or dealers selected by Pan American otherwise payable to a Holder hereunder as is necessary to provide sufficient funds to enable the payor to comply with such deduction and/or withholding requirements.

  • Any such sale of Pan American Shares shall be affected on a public market and as soon as practicable following the Effective Date.

  • Pan American or its registrar and transfer agent shall cause to be mailed to the address of the Holder last appearing on the register of Holders maintained by the Rights Agent pursuant to Section 2.8, Pan American Shares in the name of such Holder representing the CVR Payment Amount issuable to the Holder in respect of such Rights, as fully paid and non-assessable shares of Pan American, in accordance with Section 2.2, if and when necessary.

  • Plan Shares means shares of Common Stock held in the Trust which are awarded or issuable to a Participant pursuant to the Plan.

  • Sponsor Shares shall have the meaning given in the Recitals hereto.

  • Surviving Corporation Common Stock has the meaning set forth in Section 1.7(a).

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • Common Stockholders means holders of shares of Common Stock.

  • Stockholder Shares means any Common Stock owned by a Stockholder on the date of the closing of the Transactions or hereafter, together with any equity securities issued or issuable directly or indirectly with respect to such Common Stock by way of stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.
