Orderly Transition of Duties definition

Orderly Transition of Duties means that Executive has given to the Chief Executive Officer of InterMune, Inc. (the “CEO”) at least three (3) months advance notice of voluntary termination of employment and has performed, to the satisfaction of the CEO, in the CEO’s sole discretion, the duties reasonably expected of a departing executive, including but not limited to the following: • Executive shall assist with the identification and recruitment of a qualified consultant or contractor to fill Executive’s position during recruitment of a replacement. • Executive shall cooperate with InterMune, Inc. in the recruitment of a replacement. • Executive shall complete specific tasks as reasonably assigned by InterMune, Inc. to assist in transition to the consultant, contractor or replacement. • Executive shall conduct himself or herself in a professional and productive manner during the transition period.

  • Segregation of Duties means the assignment of different people in the responsibility of authorising transactions, recording transactions and maintaining custody of assets with the intention of reducing the opportunities to allow any person to be in a position to both perpetrate and conceal fraud or error due to fraud in the normal course of their duties.

  • Performance of duties means duties performed within the employee’s authorized scope of employment and performed in the line of duty.

  • Change in Duties means any one or more of the following:

  • Termination of Services means Participant’s Termination of Consultancy, Termination of Directorship or Termination of Employment, as applicable.

  • Transition Period means the period beginning with the Registration Date and ending as of the earlier of: (i) the date of the first annual meeting of stockholders of the Company at which directors are to be elected that occurs after the close of the third calendar year following the calendar year in which the Registration Date occurs; and (ii) the expiration of the “reliance period” under Treasury Regulation Section 1.162-27(f)(2).

  • Permitted Activities The primary activities of the trust created pursuant to this Agreement which shall be:

  • Benchmark Transition Event means the occurrence of one or more of the following events with respect to the then-current Benchmark:

  • Transition Date means the date on which this contract comes into effect for all purposes. Schedule 1 (Contract Particulars)

  • Tax Matters Agreement means the Tax Matters Agreement to be entered into by and between Parent and SpinCo or any members of their respective Groups in connection with the Separation, the Distribution or the other transactions contemplated by this Agreement, as it may be amended from time to time.

  • Payment Duties has the meaning assigned to that term in Section 10.02(b)(ii).

  • Transition Agreement means the Transition Power Sales Agreement dated as of November 24, 1998, by and between Seller, Southern Energy, Southern Energy Bowline, L.L.C. and Southern Energy Xxxxxx, L.L.C.

  • Contract Transition Period means the 90 day transition as defined in Section F of this Contract.

  • NORMAL HOURS/TIMINGS OF DUTY means the duty hours, which may be stipulated or instructed by the Company's Engineer.

  • Permitted Intercompany Activities means any transactions between or among the Issuer and its Restricted Subsidiaries that are entered into in the ordinary course of business of the Issuer and its Restricted Subsidiaries and, in the good faith judgment of the Issuer are necessary or advisable in connection with the ownership or operation of the business of the Issuer and its Restricted Subsidiaries, including, but not limited to, (a) payroll, cash management, purchasing, insurance and hedging arrangements; and (b) management, technology and licensing arrangements.

  • Transitional Services means services involving technical or specialized knowledge required to complete a project or to provide temporary consulting services to the City.

  • Transition Services Agreement means the transition services agreement substantially in the form attached hereto as Exhibit B.

  • transitional matter means a matter that needs to be dealt with for the purpose of effecting the transition from the provisions of the Acts amended by this Act as in force before this Act comes into operation to the provisions of those Acts as in force after this Act comes into operation.

  • Service Transfer means any transfer of the Services (or any part of the Services), for whatever reason, from the Supplier or any Sub-Contractor to a Replacement Supplier or a Replacement Sub-Contractor;

  • Material Duties means the duties generally required by employers in the national economy of those engaged in a particular occupation that cannot be reasonably modified or omitted. In no event will working an average of more than 40 hours per week be considered a Material Duty.
