Cancellation Date means the date on which the written notice of cancellation of a health insurance policy is received by the fund or the last date to which premiums were paid.

Top-Up Option has the meaning set forth in Section 1.04(a).
Rollover Options has the meaning provided in Subsection 3.1(h).
Option Date means, with respect to any Stock Option, the date on which the Stock Option is awarded under the Plan.
Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.
Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.
Unvested Company Option means any Company Option that is not a Vested Company Option.
Parent Option means an option to purchase shares of Parent Common Stock.
Call Option Date As defined in Section 10.01(a) hereof.
Termination Time means the time at which the right to exercise Rights shall terminate pursuant to Section 5.1 hereof.
Redemption Call Right has the meaning ascribed thereto in the Plan of Arrangement.
Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.
Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.
Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.
Retraction Call Right has the meaning ascribed thereto in the Exchangeable Share Provisions.
Liquidation Call Right has the meaning ascribed thereto in the Plan of Arrangement.
Initial Warrant Exercise Date means __________, 1997.
Initial Exercise Date means the date hereof.
Vested Option means any Option, which has already been vested according to the Vesting Dates.
Company Optionholders means the holders of Company Options.
Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.
Unissued Option Shares means the number of Shares, at a particular time, which have been reserved for issuance upon the exercise of an Option but which have not been issued, as adjusted from time to time in accordance with the provisions of section 5, such adjustments to be cumulative.
Company Option Plans means the following stock option plans of the Company: (a) the Amended and Restated 1989 Stock Plan, (b) the Amended and Restated 1996 Stock Incentive Plan and (c) the 2002 Nonqualified Stock Incentive Plan.
Cancellation Notice has the meaning given in Clause 8.6;
Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.
