Option Asset definition

Option Asset means all of Cytokinetics’ and its Affiliates’ right, title and interest in and to:
Option Asset means each of the Option Purchased Entities, Option Interests and Option Properties set forth on Schedule 3 hereto.
Option Asset has the meaning set forth in the Recitals hereto.

  • The decision to purchase the applicable Option Asset, the purchase price to be paid for the applicable Option Asset, and the other terms of the purchase shall be approved by the Conflicts Committee.

  • Option One Mortgage Corporation and its wholly owned subsidiaries, Premier Property Tax Services, LLC and First Option Asset Management Services (the "Company" or "Option One") is responsible for assessing compliance with the servicing criteria applicable to it under paragraph (d) of Item 1122 of SEC Regulation AB, as of and for the 12-month period ended December 31, 2007 (the "Reporting Period"), as set forth in Appendix A hereto.

  • The parties recognize and acknowledge that if the Option is exercised, a due diligence investigation will be undertaken and completed by Manager as provided for under the terms of the Option Asset Purchase Agreement prior to its determination of whether to make the asset purchase contemplated under such Option Asset Purchase Agreement.

  • In addition, upon the closing of the Option Asset Purchase Agreement (if executed), Manager agrees to offer employment to all Sprint Spectrum employees working in the BTAs that comprise the Optional Service Area on comparable terms.

  • If Manager exercises the Option but does not purchase the Optional Service Area Assets pursuant to the terms of the Option Asset Purchase Agreement, then the BTAs in the Optional Service Area will be excluded from the Service Area.

  • The Optional Service Area Assets to be purchased if the Option is exercised are listed on Exhibit A to the Option Asset --------- Purchase Agreement, as the same may be updated by the parties promptly following its execution to reflect changes and additions to such assets from the date hereof to the date of its execution.

  • In the event of any such additions, the purchase price to be paid for the Optional Service Area Assets will increase as determined in accordance with Exhibit C to the Option Asset Purchase Agreement.

  • If the Option is exercised and the Option Asset Purchase Agreement is executed, the purchase price for the Optional Service Area Assets (including the right to provide Sprint PCS Services to Sprint PCS subscribers in the Optional Service Area at Closing) will be as set forth in the Option Asset Purchase Agreement.

  • If Manager exercises the Option, Manager must add both the Cedar Rapids and Iowa City BTAs. Upon receipt of the Option Exercise Notice and the Option Asset Purchase Agreement executed by Manager, the Service Area shall be deemed to have been expanded to include the Optional Service Area, and Sprint PCS shall immediately countersign the Option Asset Purchase Agreement and deliver an original counterpart thereof to Manager.

  • For each subscriber in the Optional Service Area who receives Sprint PCS Products and Service using a Sprint PCS handset which is under warranty on the Closing Date under the Option Asset Purchase Agreement, each such handset shall be subject to the underlying handset purchase agreement and warranties of Sprint PCS insofar as provided for in such agreements.

  • Option Purchase Price has the meaning set forth in Section 9.36(b) hereof.

  • Option means a stock option granted pursuant to the Plan.

  • NQSO means any Option that is not an ISO.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Option Value means the value of a Common Stock Equivalent based on the Black Scholes Option Pricing model obtained from the “OV” function on Bloomberg determined as of (A) the Trading Day prior to the public announcement of the issuance of the applicable Common Stock Equivalent, if the issuance of such Common Stock Equivalent is publicly announced or (B) the Trading Day immediately following the issuance of the applicable Common Stock Equivalent if the issuance of such Common Stock Equivalent is not publicly announced, for pricing purposes and reflecting (i) a risk-free interest rate corresponding to the U.S. Treasury rate for a period equal to the remaining term of the applicable Common Stock Equivalent as of the applicable date of determination, (ii) an expected volatility equal to the greater of 100% and the 100 day volatility obtained from the HVT function on Bloomberg as of (A) the Trading Day immediately following the public announcement of the applicable Common Stock Equivalent if the issuance of such Common Stock Equivalent is publicly announced or (B) the Trading Day immediately following the issuance of the applicable Common Stock Equivalent if the issuance of such Common Stock Equivalent is not publicly announced, (iii) the underlying price per share used in such calculation shall be the highest VWAP of the Common Stock during the period beginning on the Trading Day prior to the execution of definitive documentation relating to the issuance of the applicable Common Stock Equivalent and ending on (A) the Trading Day immediately following the public announcement of such issuance, if the issuance of such Common Stock Equivalent is publicly announced or (B) the Trading Day immediately following the issuance of the applicable Common Stock Equivalent if the issuance of such Common Stock Equivalent is not publicly announced, (iv) a zero cost of borrow and (v) a 360 day annualization factor.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • Option Date means, with respect to any Stock Option, the date on which the Stock Option is awarded under the Plan.

  • Investment Option means any of the guaranteed investments and variable investment funds available under the Plan.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • SAR means a stock appreciation right granted under the Plan.

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Incentive Option means an option which satisfies the requirements of Code Section 422.

  • Optioned Stock means the Common Stock subject to an Option.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Option A has the meaning assigned that term in Section 8.03(e).

  • Deferred Purchase Price shall have the meaning set forth in Section 2(a).

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • ISO means an employee incentive stock option described in Section 422(b) of the Code.

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.

  • Appreciation Right means a right granted pursuant to Section 5 of this Plan, and shall include both Tandem Appreciation Rights and Free-Standing Appreciation Rights.

  • Unit Purchase Price shall have the meaning ascribed to such term in Section 2.1(b).

  • Optional Purchase Price has the meaning set forth in Section 8.1 of the Sale and Servicing Agreement.

  • Interest Option means LIBOR or the Reference Rate.
