Officer Obligations definition

Officer Obligations means the obligations or liabilities of the Company or any of its Subsidiaries to its directors, Senior Executives, Employees and consultants for severance or termination payments in connection with the termination of their employment or service upon a change of control of the Company pursuant to any written employment agreements or otherwise, as set out in the Company Disclosure Letter.
Officer Obligations means any obligations or liabilities of the Company or any of its Subsidiaries in existence on the date hereof to pay any amount to its officers and/or directors (other than for salary, benefits and directors’ fees in the ordinary course) and, without limiting the generality of the foregoing, Officer Obligations shall include the obligations of the Company or any of its Subsidiaries to officers and/or directors for severance or termination payments on a change of control of the Company pursuant to any employment agreements or otherwise in existence on the date hereof.
Officer Obligations means the written contractual obligations of CE Franklin to certain of its officers for severance, termination or other payments in connection with a change of control of CE Franklin, as disclosed to Purchaser in writing, which payments (excluding amounts to be received for CE Franklin Options, CE Franklin PSUs or CE Franklin RSUs pursuant to the Plan of Arrangement) will not exceed, in the aggregate, $2,165,915.34;

Officer Obligations means any obligations or liabilities of Augusta or any of its subsidiaries to pay any amount to its employees, officers and/or directors and, without limiting the generality of the foregoing, Officer Obligations shall include the obligations of Augusta or any of its subsidiaries to employees, officers and/or directors for severance or termination payments in connection with a Change of Control of Augusta pursuant to any employment agreements or otherwise in existence on the date hereof that have been disclosed in writing (both as to its amount and the circumstances of its payment) by Augusta to the Offeror in the Augusta Disclosure Letter;
Officer Obligations means any obligations or liabilities of CanniMed or any of its subsidiaries to pay any amount to its employees, officers and/or directors and, without limiting the generality of the foregoing, Officer Obligations shall include the obligations of CanniMed or any of its subsidiaries to employees, officers and/or directors for severance or termination payments in connection with a Change of Control of CanniMed pursuant to any employment agreements or otherwise in existence on the date hereof;

Officer Obligations means the obligations of Harvest or any of its subsidiaries to its officers for severance or termination payments in connection with a termination of employment or change of control of Harvest pursuant to any written agreements, in each case as listed in the Disclosure Letter;
