Notional Total Option Profit definition

Notional Total Option Profit with respect to any number of shares of Common Stock as to which Grantee has delivered an exercise notice shall be the Total Option Profit determined as of the Notice Date assuming that the Option were exercised on such date for such number of shares of Common Stock and assuming that such shares, together with all other Option Shares held by Grantee and its affiliates as of such date, were sold for cash at the closing market price for the Common Stock as of the close of business on the preceding trading day (less customary brokerage commissions or underwriting discounts).
