Issuer Common Stock definition

Issuer Common Stock shall be deemed to be references to "Substitute Option Issuer," "Substitute Option," "Substitute Purchase Price" and "Substitute Common Stock," respectively.
Issuer Common Stock means common stock of the same class as that offered to the public by the IPO Entity in a Qualified IPO or any securities into which such common stock is exchanged, converted or reclassified, including pursuant to any merger, reorganization or reclassification.
Issuer Common Stock shall have the meaning specified in the fourth paragraph of the recitals to this Agreement.

This Agreement (and the Option granted hereby) are exchangeable, without expense, at the option of Holder, upon presentation and surrender of this Agreement at the principal office of Issuer for other Agreements providing for Options of different denominations entitling the holder thereof to purchase in the aggregate the same number of shares of Issuer Common Stock purchasable hereunder.

If for any reason such court or regulatory agency determines that the Option does not permit Holder to acquire, or does not require Issuer to repurchase, the full number of shares of Issuer Common Stock as provided in Sections 3 and 8 (as adjusted pursuant to Section 7), it is the express intention of Issuer to allow Holder to acquire or to require Issuer to repurchase such lesser number of shares as may be permissible without any amendment or modification hereof.

Issuer Common Stock and "Section 8" contained herein shall also be deemed to be references to "Substitute Option Issuer", "Substitute Common Stock" and "Section 9", respectively.

Issuer Common Stock means common stock of the same class as that offered to the public (a) with respect to an Initial Public Offering by the IPO Entity in an Initial Public Offering, including a Qualified IPO, (b) with respect to a Subsidiary IPO, by such Subsidiary conducting such Public Offering, or (c) any securities into which such common stock is exchanged, converted or reclassified, including pursuant to any merger, reorganization or reclassification.
Issuer Common Stock has the meaning set forth in the recitals to this Agreement.
Issuer Common Stock means the Issuer’s issued and outstanding common stock, par value $0.0001 per share, and any other common equity security entitled to vote generally for the election of Directors.
Issuer Common Stock means the Issuer’s common stock, par value $0.001 per share.
Issuer Common Stock means the common stock, par value $0.01 per share, of Issuer.
