New Investor Shares definition

New Investor Shares means the total number of Shares issued to the Investors in connection with the Investment and Investor Rights Agreement, dated as of September 20, 2023, as amended on November 15, 2023, by and among the Company and the Investors, which is 671,239,941.
New Investor Shares means New Common Shares to be issued by Reorganized Bally to the Investors under the Plan and as provided in Article II hereto.
New Investor Shares means, collectively, the New Fortress Shares and the New Greenhill Shares.

  • Subject to all Offer Shares, New Investor Shares and Unissued Shortfall Shares being issued.

  • Provided that, in the event QMT’s shares are not dragged or QMT is required to sell only part of its Shares, QMT shall be entitled to ensure that the third party acquirer also purchases up to all of QMT’s Shares, each at the same price and on the same terms and conditions as are available to Creador and SFL (in relation to the SFL New Investor Shares).

  • If the New Investor receives a notice from the Company given in accordance with clause 12.4, then a legally binding and unconditional agreement for the sale of the New Investor Shares by the New Investor and their purchase by the Company shall immediately arise.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Company Securities has the meaning set forth in Section 3.02(b)(ii).

  • Series F Preferred Shares means the Series F Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Initial Shares means a number of Registrable Securities equal to the lesser of (i) the total number of Registrable Securities and (ii) one-third of the number of issued and outstanding shares of Common Stock that are held by non-affiliates of the Company on the day immediately prior to the filing date of the Initial Registration Statement.

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Sponsor Shares shall have the meaning given in the Recitals hereto.

  • Common Shares means the common shares in the capital of the Company;

  • Other Shares means shares of Common Stock, other than Registrable Securities (as defined below), with respect to which registration rights have been granted.

  • Newco Shares means the common shares in the capital of Newco;

  • Co-Investors means each of (a) the Fund and the Fund Affiliates (excluding any of their portfolio companies) and (b) the Management Group.

  • Unit Shares means the Common Shares comprising part of the Units;
