New Employment Agreements definition

New Employment Agreements means the Employment Agreements with each of Xxxxxxx Xxxxxx and Xxxx Xxxxxxx to be negotiated prior to the Closing Date pursuant to Section 8.1(b) .

New Employment Agreements means the new employment agreements that the Reorganized Debtors shall enter into on the Effective Date pursuant to the Plan Support Agreement, in each case on terms satisfactory to the Reorganized Debtors and the applicable employee and in such form as shall be set forth in the Plan Supplement.

New Employment Agreements means employment agreements between the Debtors and certain individuals in the Debtors’ senior management, the terms of which shall be included in the Plan Supplement. The individuals and terms are to be agreed to prior to the hearing on the Disclosure Statement.

Examples of New Employment Agreements in a sentence

• Commencing on the Effective Date, each of the directors and officers of each of the Reorganized Debtors shall serve pursuant to the terms of the applicable New Organizational Documents of such Reorganized Debtor and may be replaced or removed in accordance with such New Organizational Documents; provided that, on the Effective Date, the Reorganized Debtors shall enter into the New Employment Agreements.

• The New Employment Agreements shall not have been renounced, rescinded, revoked or terminated or otherwise amended or modified by either party thereto without the prior written consent of Buyers and shall remain in full force to become effective as of the Closing.

• The New Employment Agreements shall have been consummated in all material respects in accordance with the Plan Support Agreement and the terms set forth in the Plan Supplement.

• Upon the Effective Date, all actions contemplated by the Plan shall be deemed authorized and approved in all respects, including: (1) entry into the New Employment Agreements; (2) appointment of the directors and officers of Reorganized Citadel and the Reorganized Debtors; (3) the execution of and entry into the New Term Loan Agreement; (4) the issuance of the Plan Securities; and (5) all other actions contemplated by the Plan (whether to occur before, on or after the Effective Date).

• Such officers shall serve in accordance with applicable non-bankruptcy law and, to the extent applicable, the New Employment Agreements.

More Definitions of New Employment Agreements

New Employment Agreements means the employment agreements between Reorganized Citadel and members of the current management team, with the form of all such agreements to be included in the Plan Supplement and acceptable to the Agent; provided, that no change-in-control provisions under existing employment agreements shall be honored in respect of the Transfer of Control to the Lenders under the Plan, without express written consent of the Agent, which shall only be given with the approval of the Requisite Participating Lenders.

New Employment Agreements means the agreement(s), by and between the Purchaser and each of the Employees and Michael Poates, pursuant to which each such person shall provide services to the Purchaser as provided therein. The Purchaser shall compensate each person as set forth in the applicable agreement and pursuant to the terms and conditions thereof. The annual compensation to be paid to the Employees and the term of such agreement(s) will be disclosed in the Plan Supplement.

New Employment Agreements has the meaning set forth in the Recitals.

New Employment Agreements means the employment agreements, if any, between Reorganized Revel and members of the Debtors’ management team with any such agreements to be included in the Plan Supplement.
